2023 operating results remained loss-making before investment gains. The reported net income was primarily supported by a $25.035 million gain on investments, including unrealized gains of $14.578 million on Green Li-ion and $11.725 million on Sierra Springs Opportunity Fund, and a $7.305 million gain on the sale of the battery recycling manufacturing facility.
Revenue increased mainly from mining lease and rental activity, including $906,250 associated with the Mackay mining lease and $237,473 of ABTC facility rental revenue. Fuels and Metals had no reported revenue.
Selling, general and administrative expense increased to $12.589 million from $10.243 million, while research and development expense decreased to $6.117 million from $7.023 million. Depreciation and amortization declined to $2.478 million from $3.329 million.
Debt, Liquidity and Capital Resources
- Gross debt was $12.148 million at December 31, 2023; debt net of discounts and issuance costs was $9.851 million.
- Current debt maturities were $4.496 million and long-term debt was $5.355 million, net of discounts and issuance costs.
- Major obligations included the $4.290 million GHF secured note due December 2024, $2.000 million Alvin Fund note due January 2026, $2.100 million Alvin Fund note due February 2025, $3.158 million net Kips Bay convertible note due March 2025, and a $0.600 million AQMS note payable due December 2024.
- The Kips Bay note has an aggregate principal amount of $5.263 million, bears 8% interest, is convertible, and includes a $1.360 million derivative liability at year-end. The Company received $3.0 million in December 2023 and the remaining $2.0 million in January 2024.
- Working capital was $8.342 million, based on current assets of $23.183 million and current liabilities of $14.841 million.

- Management expects to fund operations through cash on hand, mining lease revenues, planned technology and engineering revenues, asset and investment sales, licensing and additional financing. Management states that funds are sufficient for the twelve months following issuance of the financial statements, but the filing also identifies substantial doubt risk if additional funding or asset sales cannot be obtained.
Material Changes Versus 2022
- Reported net income replaced a substantial net loss, primarily because of investment gains, the facility-sale gain, lower impairment charges and a favorable change in derivative fair values.
- The battery recycling manufacturing facility was acquired and sold to American Battery Technology Company, producing a $7.305 million gain and eliminating the related held-for-sale assets and lease liabilities.
- The Company completed the conversion of the Ionic convertible note, issuing 9.637 million shares during 2023; the note was fully converted with no remaining obligation.
- Comstock acquired the remaining equity interest in LINICO, increasing ownership from approximately 88.21% to 100% and eliminating the noncontrolling interest.
- Advances to Sierra Springs Opportunity Fund totaling $6.985 million were converted into equity, and the investment was revalued to $19.045 million.
- Green Li-ion holdings were partially sold for approximately $0.796 million, while the remaining shares were revalued to $18.913 million at year-end.
- Common shares outstanding increased from 91.442 million at December 31, 2022 to 117.862 million at December 31, 2023, before the January 2024 retirement of 2.605 million treasury shares.
- Derivative liabilities declined from $14.546 million to $5.400 million, but remained a significant balance-sheet obligation.
Guidance, Outlook, Risks and Unusual Items
Management’s 2024 focus is commercialization. Fuels plans to execute revenue-generating joint development and licensing agreements and advance its integrated bio-intermediate production system toward TRL 7. Metals plans to commission and operate its photovoltaic recycling demonstration facility, expand supply commitments and plan industry-scale facilities. Mining expects approximately $2 million of cash proceeds from mineral leases and continued development of AI-assisted exploration tools.
Management also states that it intends to sell the remaining Green Li-ion investment for potentially up to approximately $19 million and market Silver Springs land and water rights, with anticipated net proceeds of more than $40 million. These amounts are expectations, not guaranteed proceeds.
- The Company has recurring operating losses, negative operating cash flow and an accumulated deficit of $282.330 million.
- Its business plans depend on additional capital, successful commercialization, asset sales, licensing, permits, customer commitments and government incentives.
- Renewable-fuel economics depend significantly on the Renewable Fuel Standard, RINs, Low Carbon Fuel Standard credits, tax incentives and other government programs, which may change or be eliminated.
- Fuels and Metals facilities remain in development or commissioning, and the Company has limited operating history and no significant commercial revenue from those segments.
- Mining activities face resource-estimation, permitting, environmental, reclamation, water supply, commodity-price and technical risks. The properties have no proven or probable reserves.
- Reclamation liabilities were $5.607 million, supported by surety bonds totaling approximately $7.252 million and collateral of $2.851 million. The Company’s land is within or near the Carson River Mercury Superfund Site Study Area, creating potential investigation and remediation exposure.
- Environmental liability insurance has a $500,000 deductible per occurrence and limits of $10 million per occurrence plus a $5 million umbrella, which may not cover all potential liabilities.
- The filing reports no pending legal matters expected to have a material adverse impact, but the Company remains exposed to ordinary-course claims, environmental proceedings and permitting disputes.
- Investment gains and fair-value adjustments were material to 2023 earnings and may not recur. Several investment valuations use estimates, observable transactions or derivative models.
