Quarterly sales declined 1% year over year; first-half sales rose 2%. Q2 operating income fell 28% and MTI-attributable net income fell 41%. First-half operating income declined 17% and attributable net income declined 29%. Q2 production margin improved modestly, but first-half production margin narrowed as cost of sales grew faster than revenue. Higher interest costs also weighed on earnings.

Q2 reported operating income included $6.6m of restructuring charges, $13.9m of talc-related litigation expense and $0.2m of acquisition-related expenses. The comparable 2022 quarter included $1.5m of litigation expense and $2.6m of acquisition-related expenses. These unusual costs materially affected the year-over-year earnings comparison.

Segments and revenue drivers

  • Consumer & Specialties: Q2 sales increased 3% to $290.3m, while segment operating income was $19.4m versus $31.6m. Household & Personal Care sales rose 6%, supported by pet-litter demand and pricing; Specialty Additives was approximately flat.
  • Engineered Solutions: Q2 sales decreased 5% to $261.2m and segment operating income was $35.2m versus $41.7m. High-Temperature Technologies sales fell 2%, reflecting softer European steel markets; Environmental & Infrastructure fell 10% amid weak commercial construction, partly offset by remediation growth.
  • For the first half, Consumer & Specialties sales rose 4% to $587.6m; Engineered Solutions sales were essentially flat at $510.0m. Segment operating income declined in both segments.

Cash, liquidity and debt

At July 2, 2023, cash and cash equivalents were $247.1m and short-term investments were $8.3m, totaling $255.4m. Management reported more than $400m of available liquidity, including cash and revolving-facility availability. First-half operating cash flow was $79.2m; capital expenditures were $45.9m, implying approximate operating-cash-flow-after-capex of $33.3m. Cash was nearly unchanged from year-end 2022.

Total debt was approximately $1,042.8m, including short-term debt of $107.1m, current long-term maturities of $14.5m and long-term debt of $921.2m. Cash and short-term investments less reported debt imply net debt of approximately $787.4m. The $300m revolving facility had $105.0m of loans and $10.6m of letters of credit outstanding. MTI reported compliance with its debt covenants. Management expected 2023 capital expenditures of approximately $90m.

Outlook, risks and notable items

  • No quantified earnings or revenue guidance was provided. Management emphasized innovation, new products, market penetration, operational excellence and selective acquisitions, while cautioning that planned initiatives may not succeed.
  • MTI initiated a cost-savings restructuring program following its resegmentation, recording $6.6m of charges, with the remaining cash obligation expected to be paid by the end of Q2 2024.
  • MTI announced it would exit the talc business amid escalating litigation. It reported 501 open asbestos cases tied to certain talc products and recorded $13.9m of Q2 litigation expense. The company said future losses could exceed accrued amounts, but it could not estimate the potential loss range; the financial effect and terms of any business exit are unknown. Pfizer indemnification applies to certain pre-IPO liabilities, subject to the relevant agreements.
  • First-half costs were affected by higher raw-material, energy and manufacturing costs and by the timing of price increases. Q2 sales also faced an $8m foreign-exchange headwind. Management cited weak construction and steel conditions in some markets.
  • Interest-rate exposure remains relevant: MTI disclosed that a 1 percentage-point rate change, including derivatives, would affect annual interest charges by $24m. A new $150m floating-to-fixed interest-rate swap was entered into in Q2.
  • Goodwill allocation to the new reporting units was not complete at quarter-end and was expected to be completed during 2023. The company stated that its disclosure controls were effective and that no material changes in internal control occurred during the quarter.

Important facts for investors to verify

  • Progress and potential financial consequences of the talc-business exit, open claims, indemnification and litigation reserves.
  • Whether pricing, cost savings and restructuring can restore operating margins, particularly in Engineered Solutions and Consumer & Specialties.
  • Debt reduction, interest-rate exposure, covenant headroom and availability under the revolving facility.
  • Execution of the approximately $90m capital-spending plan and conversion of operating cash flow into free cash flow.
  • Final goodwill allocation following the reporting-segment realignment and any resulting impairment assessments.
