NIKE, Inc. — Form 10-K Summary
Reporting period: Fiscal year ended May 31, 2024 (filed July 25, 2024). Although the request metadata says “2023 Q4,” this filing covers fiscal 2024, not fiscal 2023. NIKE designs and sells athletic footwear, apparel, equipment and services through wholesale and direct channels; nearly all footwear and apparel are made by independent contractors outside the United States.

Gross-margin improvement reflected strategic pricing and lower ocean-freight and logistics costs, partly offset by higher product input costs, foreign exchange, lower NIKE Direct margin and restructuring charges. The effective tax rate fell to 14.9% from 18.2%, including a one-time benefit related to U.S. foreign tax credit regulations; this contributed to earnings growth.
Revenue mix and trends: NIKE Brand revenue rose 1% to $49.322 billion; Converse fell 14% to $2.082 billion. NIKE Direct revenue increased 1% to $21.519 billion, while NIKE Brand Digital sales declined 3% to $12.1 billion. Footwear revenue rose 1% and apparel was flat; equipment increased 20%. By geography, Greater China grew 8% currency-neutral, APLA 5%, EMEA was flat and North America declined 1%. Converse weakness reflected lower unit sales and increased direct-to-consumer promotions.
Liquidity and capital: Cash and short-term investments totaled $11.582 billion at year-end, against $8.903 billion of reported current and long-term debt; cash exceeded funded debt by approximately $2.7 billion. Current assets were $25.382 billion and current liabilities $10.593 billion. Inventory declined 11% to $7.519 billion. The company generated $7.429 billion from operations and used $5.888 billion in financing, including $4.250 billion of repurchases and $2.169 billion of dividends. It reported no borrowings under its commercial-paper program or committed credit facilities at year-end.
Material changes and unusual items
- Fiscal 2024 included $443 million of pre-tax restructuring charges, primarily severance and accelerated stock-based compensation, as NIKE streamlined its organization. Management estimated approximately $450 million in total charges; related cash payments were expected to be substantially complete by the end of the first half of fiscal 2025.
- NIKE repurchased 41.4 million shares for $4.3 billion during the year. Since the $18 billion, four-year program began in 2022, it had repurchased 84.9 million shares for approximately $9.1 billion.
- Working-capital changes supported operating cash flow, particularly lower inventory purchases and improved lead times; timing of wholesale shipments adversely affected accounts receivable.
- In fiscal 2023, NIKE recorded an approximately $550 million loss on the sale of its Argentina and Uruguay entities to a distributor; the divestiture was completed in that year.
Outlook, management commentary and risks
Management said the operating environment could remain volatile in fiscal 2025 and warned that economic and other factors could materially affect revenue growth and profitability. Consumers remained cautious, promotional activity was elevated, and inflation and higher interest rates could pressure demand. NIKE was reducing supply of certain footwear as it scaled new products; this negatively affected fourth-quarter revenue, particularly NIKE Brand Digital. The filing provides no specific fiscal 2025 revenue or earnings guidance.
The multi-year enterprise initiative is intended to simplify the product assortment and organization, expand automation and technology use, reduce costs and support future growth and innovation. Management said a majority of future annual wage savings would be reinvested. Savings and timing are estimates and execution could disrupt operations or fail to deliver expected benefits.
Principal risks include intense competition and rapidly changing consumer preferences; demand-forecasting and inventory risks; reliance on concentrated overseas footwear manufacturing; tariffs, trade restrictions, geopolitical disruption and foreign-exchange movements; cyber and data-security threats; and climate, sustainability and supply-chain compliance risks. NIKE disclosed no legal proceedings it believed generally would materially affect results, but identified a disputed Belgian Customs claim for alleged underpaid duties on imports dating from fiscal 2018. The company cannot estimate the possible loss or predict the outcome, which could be material if resolved adversely. The Netherlands tax-ruling investigation and uncertain tax positions are also worth monitoring.
Most important facts for investors to verify
- Whether fiscal 2025 sales and margins recover, particularly in NIKE Digital, Converse and North America, and whether Greater China’s growth continues.
- Whether lower inventory and reduced supply of selected footwear products reflect healthy demand management without creating shortages or further sales pressure.
- Actual restructuring costs, cash payments, savings achieved and any operational effects of the enterprise initiative.
- Progress in gross margin: pricing, promotions, product input costs, freight and logistics, foreign exchange and NIKE Direct profitability.
- Outcome and potential financial exposure of the Belgian Customs claim, Netherlands tax investigation and other tax contingencies.
- Capital allocation, including the pace of repurchases and dividends relative to investment needs and cash generation.
