| Gross profit | $202.4 million | $196.4 million |
| Operating profit | $69.4 million | $65.4 million |

- Revenue declined 1%. Gross profit rose about 3%; gross margin increased to approximately 48.6% from 46.7%. Operating margin was approximately 16.7%, versus 15.5%.
- Adjusted EBITDA, a non-GAAP measure, was $74.8 million versus $58.9 million. Management cautions that it is not a substitute for GAAP results and may not be comparable with similarly titled measures at other companies.
- Interest expense increased 4% to $39.7 million, including higher AFC securitization interest costs. Other expense fell to $0.5 million from $7.1 million, principally because Q1 2023 included an $11.0 million investment and note-receivable impairment.
- Cash from operations exceeded net income, with period working-capital movements materially affecting cash flow. Investing used $39.7 million and financing used $63.6 million; cash, cash equivalents and restricted cash decreased $8.0 million during the quarter.
Segments and material changes
- Marketplace: Revenue was $318.3 million, down 1%; operating profit was $4.8 million, compared with a $3.6 million operating loss. Vehicles sold increased 13% to 372,000, including commercial volumes up 33% and dealer consignment volumes down 8%. Auction fees rose 10% to $109.9 million, while service revenue fell 9% to $150.2 million. The service-revenue decline primarily reflected a customer contract change: $21.5 million of transportation revenue was recorded net rather than gross in Q1 2024. Excluding purchased vehicle sales, gross profit percentage improved to 46.6% from 42.6%.
- Finance: Revenue declined 2% to $98.0 million and operating profit fell to $64.6 million from $69.0 million. Loan transactions were nearly flat at 422,000. Revenue per loan transaction declined 2% to $232, and the provision for credit losses increased to 2.3% of average managed receivables from 2.0%.
- Foreign revenue was $157.8 million, up from $148.4 million; U.S. revenue was $258.5 million, down from $272.2 million.
- Q1 2024 comprehensive income was $9.0 million, including a $9.5 million foreign-currency translation loss, versus $15.1 million in Q1 2023.
Financial position and liquidity
- At March 31, 2024, cash and cash equivalents were $105.2 million; restricted cash was $45.7 million; working capital was $384.6 million.
- Total debt was $330.4 million before $9.5 million of unamortized issuance costs and discounts. This included $210.0 million of 5.125% senior notes due June 2025, $95.5 million drawn on revolving facilities and $24.9 million drawn on European lines of credit. Current maturities of long-term debt were $120.4 million.
- Revolver availability was $307.6 million, net of $51.2 million of letters of credit. The company reported a 0.2 consolidated senior secured net leverage ratio and compliance with applicable credit agreement covenants.
- Separately, AFC had $1,609.1 million of gross obligations collateralized by finance receivables, down from $1,645.4 million at year-end. Managed finance receivables were $2,313.7 million; the allowance for finance-receivable credit losses was $21.0 million.

Outlook, commentary and risks
- Management expects used-vehicle supply to improve over coming years as new-vehicle supply recovers, which it believes could increase marketplace volumes and support results. It says continued or worsening market weakness could materially affect liquidity and results; it does not provide a specific revenue or earnings forecast.
- Expected 2024 capital expenditures for continuing operations are approximately $55–$60 million. Q1 capital expenditures were $12.9 million.
- Key exposures include used-vehicle supply, pricing and demand; inflation and interest rates; AFC dealer defaults, collateral values and credit losses; and unhedged foreign-currency and variable-rate interest exposure. A hypothetical 100-basis-point increase in short-term rates was estimated to add approximately $0.3 million of quarterly interest expense on variable-rate corporate debt.
- Management reported no significant change in previously disclosed legal proceedings and does not currently expect their resolution to materially adversely affect the company. Disclosure controls were assessed as effective, with no material quarterly change in internal control over financial reporting.
- The company received approximately $29.8 million net cash inflow in Q1 under the Carvana commercial and transition-services agreements. The filing also notes a $250.8 million goodwill and other intangible impairment in the trailing twelve months, recorded in Q2 2023, and a related U.S. deferred-tax valuation allowance of $38.3 million at March 31, 2024.
Important facts for investors to verify
- Whether higher Marketplace vehicle volumes can persist and translate into stronger revenue and operating profit, particularly given lower dealer consignment volumes and lower auction fees per vehicle.
- How the net-versus-gross customer contract accounting change affects reported service revenue and segment margins, and whether the economics changed beyond presentation.
- Whether AFC credit losses remain near management’s stated long-term expectation of approximately 2% or less of average managed receivables; Q1 provision was 2.3%.
- The company’s ability to refinance or repay the $210 million senior notes due in June 2025, and continued access to revolving and securitization facilities.
- Whether working-capital-driven operating cash flow is sustainable; quarterly cash flow is affected by timing of marketplace collections and seller payments.
- Potential effects of market deterioration, interest rates, unhedged currency exposures, legal contingencies and valuation assumptions on liquidity and reported results.
