PSQ Holdings, Inc. quarterly report, Q1 FY2024

PSQ Holdings, Inc. (PublicSquare) — Q1 2024 Form 10-Q

Reporting period: Three months ended March 31, 2024; interim financial statements are unaudited. PublicSquare operates Marketplace, Brands (including EveryLife), and Financial Technology (Credova). Credova was acquired on March 13, 2024, so its results are included only from that date; comparisons with Q1 2023 are therefore not like-for-like.

Financial performance

MetricQ1 2024Q1 2023
Revenue$3.47 million$0.38 million
Gross profit / margin$1.48 million / approximately 43%$0.02 million / approximately 4%
Operating loss$(14.91) million$(5.54) million
Net loss$(12.58) million$(6.69) million
Adjusted EBITDA (non-GAAP)$(7.32) million$(4.99) million

  • Revenue increased 817%. Q1 2024 included $2.14 million from Brands, $0.95 million from Marketplace, and $0.38 million from Financial Technology. Growth reflected EveryLife product sales, higher Marketplace advertising and e-commerce revenue, and Credova revenue recorded after acquisition.
  • Operating expenses rose to $18.37 million from $5.91 million. General and administrative expense was $10.26 million, including $2.3 million of Credova acquisition-related costs; sales and marketing was $4.68 million. Share-based compensation was $5.89 million.
  • Net loss widened 88%. A $2.23 million gain from the decrease in warrant-liability fair value and a $0.12 million gain on earn-out liabilities partly offset the operating loss; these fair-value changes are non-cash and may fluctuate.
  • Segment gross margins were 46% for Marketplace, 35% for Brands, and 76% for Financial Technology. Segment adjusted EBITDA losses were $6.83 million, $0.36 million, and $0.13 million, respectively.

Balance sheet, cash flow and debt

  • At March 31, cash and cash equivalents were $9.11 million, with $0.23 million restricted cash. Net working capital was $6.6 million. Current assets were $19.83 million and current liabilities $13.21 million.
  • Total liabilities were $30.34 million and stockholders’ equity $18.29 million. Debt included $5.10 million outstanding under Credova’s revolving credit facility and $8.45 million of convertible replacement notes. The revolving facility bears 15% interest, is secured by certain Credova assets, and its funding period ends June 30, 2024; repayment mechanics begin July 1, 2024.
  • Operating cash use was $6.52 million. Investing activities used $0.36 million and financing activities used $0.22 million. Cash, cash equivalents and restricted cash declined $7.10 million during the quarter.
  • Credova’s loan portfolio had $7.76 million in gross receivables and a $1.07 million allowance for credit losses, leaving $6.68 million net. Loans are unsecured; $247,000 was past due, including $49,873 more than 90 days past due.

Material changes, outlook and risks

  • Credova was acquired for consideration valued at $24.17 million, including 2,920,993 newly issued Class A shares, assumption of $8.45 million of notes, and cash paid. The preliminary purchase-price allocation recorded $10.93 million of goodwill and $11.72 million of identifiable intangible assets; estimates remain subject to adjustment.
  • Class A shares outstanding increased to 28.18 million at quarter-end from 24.41 million at year-end, primarily reflecting Credova consideration shares and other share issuances. The company also reported 4.67 million RSUs outstanding and $22.5 million of unrecognized RSU compensation cost.
  • On May 3, 2024, after quarter-end, the company received $10 million from a 9.75% convertible note purchased by a board member and affiliates. Management says it expects available resources—including this financing, Credova, possible additional capital, resource reallocation and inventory management—to fund operations and capital needs for the next year. This assessment depends on planned actions and is not assured; the company may need additional financing and may be unable to obtain it on acceptable terms.
  • Management plans to redirect resources toward more profitable segments, considers additional equity or credit financing, and expects to refine inventory purchasing. No specific revenue, profit, or cash-flow guidance is provided. Management also expects continued investment in growth, with costs potentially rising in absolute dollars.
  • Disclosure controls and procedures were reported ineffective due to a material weakness in internal control over financial reporting, including controls over preparation of the cash-flow statement. Management described planned remediation, including stronger review of complex transactions and potentially additional accounting expertise.
  • The filing reports no material pending legal proceedings and no material changes to previously disclosed risk factors. Key risks include ongoing losses and cash burn, financing needs, unsecured consumer-loan credit risk, acquisition integration and preliminary valuation estimates, and potential dilution. The company also has a $1 million advertising commitment, with one of six installments paid by quarter-end.

Important facts for investors to verify

  • Whether the May 2024 $10 million note and any further financing provide sufficient liquidity, and the note’s conversion and dilution effects.
  • Credova facility borrowing-base availability, repayment schedule, maturity, and ability to refinance or repay advances after the funding period ends.
  • Credova loan performance, delinquency and loss trends, and whether the allowance for credit losses adequately reflects portfolio risk.
  • Final Credova purchase-price allocation, including goodwill and intangible-asset valuations, and subsequent amortization or impairment effects.
  • Progress in remediating the material weakness and whether controls over financial reporting become effective.
  • Underlying segment growth, gross margins, customer and merchant concentration, and the sustainability of reported revenue growth and adjusted EBITDA.
