Q3 revenue rose 4% as reported; nine-month revenue rose 3%. The prior-year periods included a $417.1 million noncash goodwill impairment charge, a major reason for the year-over-year earnings reversal. Q3 SG&A was $1,123.8 million, or 47.6% of revenue; nine-month SG&A was $3,326.3 million, or 49.4%.

  • Q3 revenue growth was strongest in Calvin Klein International (+10%) and Tommy Hilfiger North America (+6%); Heritage Brands Wholesale declined 11%. For the nine months, Calvin Klein North America fell 7% and Heritage Brands Wholesale fell 11%.
  • Q3 direct-to-consumer revenue increased 8%, including directly operated digital commerce growth of 15%. Nine-month direct-to-consumer revenue rose 9%; directly operated digital commerce increased 10%.
  • Cash and cash equivalents were $357.6 million at October 29, down from $550.7 million at January 29. Inventory was $1,476.9 million, down from $1,802.6 million at fiscal year-end.
  • Debt carrying value was $2,254.5 million, including $18.0 million of short-term borrowings; cash less debt was approximately $1.90 billion. Current long-term debt was $665.2 million. PVH reported approximately $1.4 billion in available borrowing capacity and compliance with its debt covenants.

Material changes and unusual items

  • Q3 gross margin improved 80 basis points year over year, supported by lower freight costs and favorable international and direct-to-consumer mix; currency-related inventory costs partly offset the improvement. Nine-month gross margin improved 30 basis points.
  • Operating cash flow turned positive versus the prior-year use of cash, largely reflecting inventory reductions versus the prior-year inventory build, partly offset by changes in payables and accrued expenses.
  • PVH completed the sale of Warner’s, Olga and True&Co. on November 27, 2023, after quarter-end, for $160 million cash subject to adjustment. The company expected an approximately $10 million pretax net gain in Q4 and may receive an earnout of up to $10 million based on 2024 sales.
  • The 2022 cost-savings initiative generated $57.8 million of costs during the first nine months of 2023; approximately $7 million of additional Q4 costs were expected. The initiative targets annual savings exceeding $100 million, net of ongoing strategic people investments.

Outlook, commentary and risks

  • Management expected full-year 2023 revenue to increase approximately 1% from 2022, and Q4 revenue to decline 3%–4% year over year. Q4 gross margin was expected to improve approximately 400 basis points, while SG&A as a percentage of revenue was expected to increase approximately 100 basis points.
  • Full-year 2023 expectations included approximately $93 million of net interest expense, a tax rate near 22%, and approximately $250 million of capital expenditures. PVH expected approximately $550 million of 2023 share repurchases and approximately $112 million of debt repayments.
  • Management estimated currency translation would add approximately $45 million to 2023 revenue and $7 million to net income, while transactional currency effects would reduce net income by approximately $75 million and gross margin by approximately 100 basis points versus 2022.
  • Key uncertainties include inflation and cautious consumer and wholesale demand, currency volatility, the Ukraine war and its broader effects, supply-chain and sourcing costs, and possible impairment if forecasts or market conditions deteriorate. Management did not expect the Israel-Hamas war to have a material impact, citing less than 1% of expected 2023 revenue from Israel.
  • PVH cautioned that pension actuarial gains or losses could materially change full-year results. It also noted foreign exchange exposure, significant debt obligations, and the risk that cost-saving or business-transition plans may not deliver expected benefits. The company reported no material change to its previously disclosed risk factors.

Important facts for investors to verify

  • Confirm the filing period: October 29, 2023, not 2022 Q3, and distinguish quarter-end results from post-quarter developments.
  • Track whether Q4 and full-year revenue, gross-margin, currency, tax and interest expectations were achieved.
  • Review debt maturities and refinancing needs, particularly the $665.2 million current portion and scheduled 2024 repayments.
  • Verify the final proceeds, costs, gain and any earnout from the Heritage Brands intimate-apparel sale, and how proceeds were used for repurchases.
  • Monitor execution and realized savings from the cost initiative, consumer demand, inventory and working capital, and foreign-exchange effects.
