Changes, management commentary and outlook

  • Revenue fell 6.6% in Q3 and 5.1% year to date, largely because of the sales of Sheraton Cerritos and Doubletree Guest Suites Times Square; BuyEfficient was also sold in 2015. Room revenue from the existing portfolio increased, while the Wailea Beach Marriott repositioning and softer Chicago and Houston markets weighed on results.
  • Q3 net income and common-stockholder income were down against 2015, which included an $11.7 gain on the BuyEfficient sale and $15.9 of discontinued-operation income. Year-to-date 2016 included an $18.2 gain on the Sheraton Cerritos sale and a $1.6 tax benefit from reversal of an accrual after the statute of limitations expired. Derivative losses added $7.8 to interest expense year to date.
  • Management described the lodging cycle as mature/late phase and emphasized asset management, disciplined capital recycling, selective acquisitions and dispositions, low leverage and balance-sheet flexibility. No numerical earnings or operating guidance is provided.
  • Management cited risks including economic weakness, new hotel supply and alternative lodging, market-level competition, rising labor and other operating costs, renovation disruption, hotel-manager and brand relationships, debt and covenants, capital-market access, REIT requirements, leases and cyber/security risks. Renovations displaced an estimated $6.5 of room revenue year to date. No hotel-property or goodwill impairment indicators were identified.
  • The filing reports $0.5 of outstanding letters of credit, environmental indemnities without stated term or damage limits, and routine litigation; management did not expect litigation liabilities beyond insurance to materially affect results. Disclosure controls were deemed effective, and no material change in internal control was reported.

Important facts for investors to verify

  • How much of the reported revenue and earnings decline reflects sold assets versus performance of the continuing hotel portfolio, and whether comparable RevPAR trends persist.
  • Renovation schedules, remaining commitments and expected operating disruption at Wailea Beach Marriott and other properties.
  • Debt maturities and refinancing plans, particularly the $252.4 of principal contractually due within one year, as well as interest-rate exposure and covenant headroom.
  • Cash requirements for capital spending, lease obligations and common and preferred dividends, and the company’s ability to maintain liquidity while pursuing acquisitions or dispositions.
  • The sustainability of Adjusted EBITDA and Adjusted FFO, including the effect of dispositions, derivative valuation changes, preferred dividends and other adjustments; these are non-GAAP measures and may not be comparable across companies.
