Segment performance and material changes
- Natural Gas Transportation: Revenue declined 21.8% to Ps.101,862 million, and the segment moved to an operating loss of Ps.12,233 million from a Ps.15,635 million profit. The 95% tariff increase effective April 29, 2023 was substantially below 211.4% annual inflation. Average daily deliveries declined to 66.8 MMm3/d from 68.6 MMm3/d.
- Liquids Production and Commercialization: Revenue declined 18.2% to Ps.265,413 million and operating profit fell 29.2% to Ps.85,764 million. The main pressures were lower international benchmark prices, lower propane and butane volumes, reduced government subsidies, and regulated domestic LPG pricing. Liquids sales volume was broadly stable at 1.129 million tons, while production increased approximately 1%.
- Midstream: Revenue increased 46.7% to Ps.85,615 million and operating profit increased 63.5% to Ps.42,986 million, led by higher Vaca Muerta transportation and conditioning activity and operation and maintenance services for the President Néstor Kirchner pipeline.
- Telecommunications: Revenue declined 4.7% to Ps.2,729 million and the segment recorded a Ps.79 million operating loss, compared with a Ps.267 million profit.
Capital expenditures totaled Ps.135,083 million in cash additions to property, plant and equipment during 2023. Major activity included Vaca Muerta gathering, conditioning and pipeline expansion, as well as maintenance and integrity work on the transportation system.
Debt, liquidity and balance sheet
- Total debt was Ps.471,648 million at December 31, 2023, compared with Ps.294,635 million in 2022. The filing states that 100% of indebtedness was denominated in U.S. dollars.
- Current debt increased to Ps.60,567 million from Ps.12,207 million, while non-current debt increased to Ps.411,081 million from Ps.282,428 million.
- The filing reports total debt of approximately U.S.$583 million at the December 31, 2023 exchange rate. The 2018 Notes have a stated principal amount of U.S.$500 million and bear interest at 6.75%.
- Current assets were Ps.425,204 million versus current liabilities of Ps.119,544 million, implying a reported current ratio of approximately 3.6x. However, much of current assets consisted of financial investments rather than cash.
- Financial assets at fair value through profit or loss were Ps.217,537 million, and financial assets at amortized cost were Ps.105,328 million current plus Ps.107,191 million non-current. Management stated that 89% of fund placements, approximately U.S.$404 million, were denominated in U.S. dollars.
- The gearing ratio increased to 0.36x from 0.26x. Management stated that operating cash flow was sufficient to fund 2023 capital expenditures and that working capital was sufficient for current requirements.
- No dividends were declared or paid for 2023. Tariff-transition agreements and debt covenants restrict dividends and certain related-party payments or investments.
Guidance, outlook, risks and unusual items
- Effective April 3, 2024, tgs received a 675% transitional increase in natural-gas transportation tariffs. Beginning in May 2024, tariffs are subject to a monthly composite adjustment based on wages, wholesale prices and construction costs. The company continues to negotiate a permanent RTI with ENARGAS.
- The 2024 tariff framework requires a 2024 investment plan of Ps.27,690 million, adjusted by the transitional index.
- Management expects continued elevated inflationary costs, volatility in international Liquids prices, and potentially lower export margins due to higher sea freight costs.
- Management expects Vaca Muerta expansion work to be completed during the 2024 winter season and to support higher Midstream revenue. It expects approximately U.S.$177 million of 2024 investment to complete the current Vaca Muerta expansion project.
- Argentina recorded 211.4% CPI inflation and 356.3% peso depreciation against the U.S. dollar during 2023. The company has substantial exposure because regulated transportation revenue is peso-denominated while debt, capital expenditures and significant operating costs are dollar-linked.
- The company’s transportation license expires in December 2027, with a potential 10-year extension. The extension request filed in September 2023 remained pending without a formal ENARGAS response at the filing date.
- Material risks include tariff delays or insufficient adjustments, regulatory intervention, exchange controls, debt refinancing, commodity-price volatility, domestic LPG price controls, natural-gas supply and infrastructure constraints, labor disputes, litigation, environmental matters, cyberattacks and changes in Argentine economic policy.
- The company recorded provisions of Ps.2,153 million for turnover-tax claims and Ps.81 million for environmental matters. A separate legal dispute concerning the natural-gas processing charge remains unresolved; the potential liability was not clearly quantifiable and no provision was recorded for the disputed period.
- The auditors issued unqualified opinions on the financial statements and internal control over financial reporting. The critical audit matter concerned impairment testing of the Natural Gas Transportation cash-generating unit, which depends materially on future tariffs, inflation, exchange rates and discount-rate assumptions.
Most important facts to verify
- Confirm the maturity and refinancing status of the U.S.$500 million 2018 Notes. The filing contains inconsistent references to a May 2, 2025 payment date and a January 3, 2029 scheduled maturity.
- Assess whether the 675% tariff increase and monthly indexation adequately offset inflation, operating costs, required investment and dollar-denominated debt service.
- Review the assumptions and sensitivity of the Ps.571,161 million Natural Gas Transportation PPE recoverable-value analysis, particularly the tariff and exchange-rate scenarios.
- Track the ENARGAS proceeding for the requested 10-year license extension and the timing and terms of the permanent RTI.
- Evaluate the company’s ability to fund approximately U.S.$177 million of planned Vaca Muerta capital expenditures while refinancing debt and complying with investment obligations.
- Monitor the Ps.4,676 million government receivable related to the Propane for Networks Agreement and the collectability and timing of fiscal-credit certificates.
- Review exchange-control developments affecting debt payments, imports, export proceeds and dividends to ADS holders.
- Reconcile reported cash, financial investments, restricted deposits and current debt maturities to assess effective liquidity rather than relying solely on the current ratio.
