FY2014 revenue increased 66.3%. Data-center revenue rose 232.5% to $64.5 million, FTTH revenue increased 210.5% to $13.6 million, and CATV revenue was essentially flat at $47.4 million. Market mix shifted: data centers contributed 49.4% of revenue versus 24.7% in 2013; CATV contributed 36.3% versus 60.4%.

Research and development expense increased 87.6% to $16.0 million; total operating expenses increased 67.6% to $39.1 million. Management attributed the higher gross margin principally to increased sales of newer, more differentiated products and higher revenue.

Fourth quarter: Revenue was $36.4 million, gross margin was 33.7%, operating income was $1.3 million, and net income was $0.7 million. In Q4 2013, revenue was $23.7 million, gross margin 28.1%, operating loss $0.3 million, and net loss $0.5 million.

Cash flow, liquidity and debt

Operating cash flow turned positive in 2014, but working capital absorbed cash: receivables increased $9.7 million and inventories increased $16.1 million, partly offset by an $18.8 million increase in accounts payable. Investing cash outflow was $45.4 million, including $41.1 million of property and equipment purchases and $3.3 million for intangible assets. Financing provided $47.3 million, including $45.7 million in net proceeds from the company’s 2014 stock offering.

At year-end, current assets were $113.2 million and current liabilities were $48.6 million. Debt included $15.0 million drawn on a U.S. revolving line, a $5.0 million U.S. term loan, and borrowings in Taiwan and China. The U.S. facilities are secured by substantially all U.S. assets and include financial covenants; AOI reported compliance at December 31, 2014. Management said existing cash and operating cash flows should cover anticipated needs for the next 12 to 24 months.

Outlook, risks and notable items

  • The filing gives no specific revenue or earnings guidance. Management expects continued investment in R&D, manufacturing capacity, sales activities, and new products; it expects R&D expense to rise in dollars, while potentially declining as a share of revenue if revenue grows.
  • Customer concentration is substantial: Amazon represented 45.8% of FY2014 revenue, and the top ten customers represented 87.2%. Purchases generally rely on short-term, cancelable or changeable purchase orders rather than long-term commitments.
  • Growth is increasingly tied to data centers, while CATV remains a material market. Demand, customer order timing, qualification of new products, pricing, product mix, manufacturing yields, and rapid technology changes could cause significant fluctuations in sales and margins.
  • AOI relies on a limited number of suppliers and on manufacturing sites in the U.S., China, and Taiwan. Its proprietary laser fabrication is located only in Sugar Land, Texas; a disruption there could materially affect production. Foreign exchange exposure and operating risks in China and Taiwan are also highlighted.
  • Inventory rose to $33.8 million from $19.6 million; the company recorded $0.9 million of obsolete-inventory charges in 2014. Warranty accrual was $0.2 million, compared with none reported at the prior year-end.
  • After year-end, AOI entered a 90 million NTD revolving credit facility in Taiwan and obtained a construction loan of up to $22 million for its Sugar Land expansion. Construction began in January 2015. The China subsidiary’s preferential 15% tax status was approved through September 2017.
  • The company reported no material pending legal claims known to management. Management concluded disclosure controls were effective; the independent auditor did not audit or express an opinion on internal control over financial reporting.

Key facts for investors to verify

  • Whether Amazon’s 45.8% revenue contribution persists or customer concentration declines.
  • Whether data-center and FTTH growth continues, and how demand evolves in CATV.
  • Whether margin improvement is sustained as product mix, pricing, yields, and operating expenses change.
  • Working-capital requirements, inventory quality, capital spending, and cash generation relative to expansion plans.
  • Debt balances, covenant headroom, and funding needs associated with the new construction loan and capacity expansion.
  • Exposure to the single-site laser fabrication operation, suppliers, foreign exchange, and China/Taiwan operating conditions.
