ACM Research, Inc. — FY2022 Form 10-K

- Revenue mix: Wet-cleaning and other front-end tools generated $308.5 million, up 52.5%; advanced packaging, other processing tools, services and spares generated $80.3 million, up 39.7%. ECP, furnace and other newer technologies grew 133.3% to $77.5 million. Mainland China accounted for $377.8 million, approximately 97% of revenue.
- Expenses and earnings drivers: Operating expenses rose 63.6% to $124.6 million, including R&D of $62.2 million (16.0% of revenue, versus 13.2%). Higher sales volume, product mix and favorable RMB-dollar movements supported gross margin. Net income growth was moderated by higher tax expense and a $7.9 million unrealized loss on trading securities; the effective tax rate was 24.9%, versus 0.3% in 2021.
- Liquidity: Cash, cash equivalents and time deposits totaled $420.4 million at year-end, down from $562.5 million. Current assets were $963.8 million and current liabilities $396.2 million (approximately 2.4 current ratio). Cash and time deposits include funds held in mainland China subject to transfer procedures and other restrictions; much of ACM Shanghai’s funds are not freely available to the U.S. parent.
- Debt and investment: Borrowings totaled approximately $77.0 million: $56.0 million short-term and $21.0 million long-term, including current maturities. 2022 investing cash outflow was $265.7 million, including $172.4 million placed in time deposits and $91.1 million of property and equipment purchases. The company reported $102.9 million of open capital commitments.
Material changes and business developments
- Revenue grew substantially, with expanded sales of cleaning equipment and an increased contribution from ECP, furnace and other products. The company launched PECVD and Track product categories in 2022.
- Customer concentration remained significant: three customers contributed 43.8% of revenue—Huali Huahong 18.2%, SMIC 15.6% and YMTC 10.0%—versus two customers contributing 48.9% in 2021.
- Cash used in operations increased as accounts receivable rose $88.7 million and inventories rose $193.3 million; customer advances also increased $104.3 million, providing a partial offset. Year-end inventory was $393.2 million, up from $218.1 million, and included $123.2 million of first-tool finished goods at customer locations awaiting acceptance.
- Foreign-currency translation reduced comprehensive results: the translation adjustment was a loss of $59.1 million, compared with a gain of $4.7 million in 2021. ACM-attributable comprehensive loss was $10.4 million, despite positive net income.
Outlook, risks and unusual items
- Outlook: Management expects gross margin of 40%–45% for the foreseeable future and expects R&D, sales and marketing, and general and administrative expenses to increase in absolute dollars. No specific revenue or earnings guidance is provided. Gartner’s cited estimates forecast a 19.0% decline in global WFE spending in 2023 and a 19.6% decline in the equipment segments relevant to ACM.
- Export controls: U.S. restrictions introduced in October 2022 affected shipments and sales in the fourth quarter; management expects continuing adverse effects. Certain customers and products may fall within restricted categories, and the company may face limits on U.S.-origin inputs, licensing, and U.S.-person support.
- COVID-19 and capacity expansion: Shanghai restrictions disrupted production and shipments in the first half; 13 delayed tools representing $13 million of revenue and $24 million of shipments were shipped in the second quarter. A late-2022 infection wave also caused employee absences. The Lingang project missed its construction-completion milestone; an extension moved the deadline to July 9, 2023, and the production-start deadline to July 9, 2024. Failure to meet contractual milestones could result in penalties or loss of land rights.
- Controls and audit: Management and the independent auditor concluded that internal control over financial reporting was ineffective at year-end because of two material weaknesses: deficient risk assessment/monitoring and IT controls. Disclosure controls were also deemed ineffective. The financial-statement audit opinion was unqualified, while the auditor issued an adverse opinion on internal controls.
- Other principal risks: Dependence on a small number of customers and suppliers, semiconductor cyclicality, unhedged currency exposure, PRC regulatory and fund-transfer risks, and the possibility of renewed PCAOB inspection restrictions under the HFCA Act. The PCAOB reported full PRC/Hong Kong inspection access in 2022; future access remains uncertain. ACM reported no outstanding legal proceedings at year-end.
Investor verification priorities
- Track the revenue, shipment and customer-acceptance impact of U.S. export controls, especially for SMIC- and YMTC-related business.
- Assess inventory quality, first-tool acceptance and collection of receivables, alongside customer advances and operating cash flow.
- Verify progress, spending and milestone compliance at Lingang, including the July 2023 construction and July 2024 production deadlines and capital commitments.
- Monitor remediation and independent validation of the two material weaknesses, and confirm that disclosure and financial-reporting controls become effective.
- Evaluate cash accessibility across jurisdictions, short-term debt refinancing and repayment, RMB exposure, and the implications of the company’s 82.5% ownership of ACM Shanghai.
- Confirm the durability of margins and growth under the company’s stated 40%–45% gross-margin range and the forecast WFE downturn.
