Material changes and drivers

  • Higher rates, deployment of excess liquidity, and a shift to higher-yielding assets drove interest income and margin gains. Management also cited lower funding costs.
  • Deposits fell $143.2 million in the quarter as customers sought higher-yielding alternatives. Loans declined $7.0 million, mainly from payoffs and paydowns; loan balances remained higher than a year earlier.
  • Insurance commissions rose 58.5%, primarily reflecting the Hockley & O’Donnell agency acquisition and higher contingent income. Mortgage-loan sale income fell 94.0% as higher rates reduced activity.
  • Salary and benefit expense increased 38.1%. Management attributed the comparison in part to prior-year reversals of incentive compensation and loan expense, as well as higher stock, pension, agency-related and leave-reserve costs.
  • Q1 operating, investing and financing cash flows were $14.9 million provided, $63.0 million provided and $132.0 million used, respectively. Financing outflows chiefly reflected deposit reductions; investing inflows included $46.6 million of securities sales.
  • Available-for-sale securities had a $46.7 million after-tax unrealized loss at quarter-end. This was an improvement from $52.7 million at year-end; management attributed the valuation changes primarily to interest rates and said portfolio credit quality remained strong.

Outlook, risks and unusual items

  • The filing provides no specific earnings, revenue or margin guidance. Management cautions that Q1 results are not necessarily indicative of full-year results.
  • ACNB adopted CECL on January 1, 2023. Adoption reduced retained earnings by $2.4 million after tax and increased the loan-loss allowance by $1.6 million and the unfunded-commitment reserve by approximately $1.6 million at adoption; subsequent quarterly provisions were $97,000 and $276,000, respectively.
  • Management specifically warned that 2023 bank failures and financial-sector instability could increase deposit volatility, liquidity needs, rate volatility and regulatory or FDIC costs, potentially adversely affecting ACNB’s liquidity, capital, results and stock price.
  • Liquidity sources disclosed included $789.9 million of available FHLB capacity, $262 million available through the Bank Term Funding Program, $5.8 million available at the Federal Reserve Discount Window, and $75 million of available correspondent Fed Funds lines. These are stated capacities, not cash on hand.
  • The bank reported regulatory capital ratios above applicable “well-capitalized” thresholds: 10.32% Tier 1 leverage, 14.84% common Tier 1 and Tier 1 risk-based, and 15.96% total risk-based. Management said the bank remained well capitalized.
  • Asset-quality indicators included $3.0 million of nonaccrual loans, $860,000 past due over 90 days and still accruing, and $117,000 of gross charge-offs in the quarter. ACNB reported no modified loans to borrowers experiencing financial difficulty at March 31.
  • Unfunded commitments to extend credit were $414.6 million and standby letters of credit were $16.0 million. Management considered the related guarantee liability immaterial. No material pending legal proceedings were reported.

Important facts for investors to verify

  • Whether deposit outflows stabilize, the cost and mix of deposits change, and the disclosed liquidity facilities remain available on usable terms.
  • How unrealized securities losses, securities sales, and any associated funding or liquidity needs evolve; distinguish available-for-sale from held-to-maturity positions.
  • Whether commercial real estate and other loan performance support the CECL assumptions and current allowance, particularly as economic and interest-rate forecasts change.
  • Whether the Q1 net interest margin benefit persists as rates, asset yields, deposit competition and funding costs change.
  • Whether expense growth moderates and insurance-agency contributions continue; the filing does not quantify a forward outlook for either.
