Material changes versus prior periods
- Q3 revenue declined 31% year over year. The comparable 2011 quarter included $12.5m in verdict-insurance proceeds; including those proceeds, total revenue and other operating income fell 45% to $34.9m from $63.0m.
- Nine-month reported revenue rose 22% to $184.5m. Including the $12.5m of 2011 insurance proceeds, total revenue and other operating income increased 13% to $184.5m from $163.9m.
- Q3 turned to an operating and net loss, while nine-month operating income and attributable net income increased substantially. The nine-month tax provision included a $10.2m benefit from releasing most of the deferred-tax valuation allowance, primarily following the ADAPTIX acquisition.
- Patent amortization rose to $20.9m for nine months, from $8.3m, reflecting acquired portfolios including ADAPTIX and accelerated amortization associated with a patent portfolio sale. Patent litigation and licensing expense increased to $14.6m from $10.8m.
- Acacia acquired ADAPTIX in January for $160m cash consideration ($150m net of acquired cash), adding a 4G wireless patent portfolio. Patent portfolios owned or controlled increased to approximately 250 from 200 at year-end 2011.
Outlook, risks and unusual items
- Management stated that cash, investments, anticipated operating cash flow and other potential credit sources were expected to meet cash requirements through at least November 2013. No specific revenue or earnings guidance was provided.
- Management emphasized that quarterly revenue can fluctuate substantially with agreement timing, licensing-program maturity, litigation outcomes, license terms and the number and size of agreements. Trailing 12-month revenue was $205.3m at September 30, down 12% from June 30.
- Revenue was concentrated: five licensees contributed 30%, 13%, 10%, 10% and 10% of Q3 revenue. Three licensees represented approximately 68% of accounts receivable at quarter-end.
- Patent enforcement may entail higher legal costs, adverse rulings, appeals, changes in law, sanctions or awards of opposing parties’ legal fees. Management said ordinary-course claims were not expected to materially affect results, but enforcement-related sanctions or fee awards could be material.
- ADAPTIX purchase-price allocation and certain tax-attribute estimates remained preliminary; changes could affect patent and goodwill carrying values, deferred taxes and future amortization. ADAPTIX patent values were amortized over an estimated ten-year life.
- After its October 18 earnings release, the company recorded $217,000 of additional third-party accrued expenses, net of tax benefit. Q3 net loss was revised from $6.4m to $6.6m and diluted loss per share from $0.13 to $0.14.
Important facts for investors to verify
- Whether licensing receipts and new agreements sustain revenue given quarterly volatility and licensee concentration.
- ADAPTIX’s eventual licensing contribution and the final purchase-price allocation, including patent lives and tax assumptions.
- The cash implications of patent acquisitions, litigation spending, royalties, contingent legal fees and the company’s liquidity outlook.
- How much of nine-month earnings reflects recurring operations versus the valuation-allowance release and other period-specific items.
