Changes and management commentary

  • Q2 net loss declined by $1.38 million year over year, mainly as lower G&A expense more than offset higher R&D. For the six-month period, net loss declined by $0.19 million. R&D rose substantially as Phase 2b trial and consulting costs increased; lower professional fees and stock-based compensation reduced G&A.
  • Cash fell by $3.87 million in the first half. Management stated that June 30 cash, based on current estimates, was expected to fund anticipated requirements for at least 12 months from issuance of the interim financial statements.
  • After quarter-end, a registered direct offering and concurrent private placement closed July 27, 2022. The company reported approximately $4.2 million gross and $3.7 million net proceeds, issuing 1,159,211 common shares and 130,769 pre-funded warrants, plus Series A and B warrants each covering 1,289,980 shares. Placement agents also received $287,874 cash and 63,018 warrants. The offering adds liquidity but creates potential dilution.

Outlook, risks, and unusual items

  • The lead candidate, ibezapolstat, is in a Phase 2b clinical trial for C. difficile infection. In July 2022, Acurx launched a referring-physician enrollment program and increased its site target from 24 to 30; 16 sites were active and eight were onboarding at the time described. COVID-19 had slowed enrollment relative to expectations.
  • Management expects losses and increased R&D spending to continue. Additional equity financing and grant funding may be needed; availability and terms are uncertain. The company cautions that it may need to delay, reduce, or discontinue programs if additional capital is unavailable.
  • The company’s 2020 Phase 2a trial enrolled 10 patients and was stopped early following Scientific Advisory Board recommendation; all 10 met reported clinical-cure and sustained-cure endpoints, with no treatment-related serious adverse events reported. These small-trial results do not establish later-stage efficacy or safety.
  • A material weakness in internal control over financial reporting—insufficient segregation of duties due to limited personnel—meant disclosure controls were not effective at the reasonable-assurance level. A controller was hired in April 2022 and a third-party specialist engaged; remediation was ongoing.
  • Key risks include clinical-trial outcome and enrollment uncertainty, dependence on third-party manufacturers and research vendors, financing and dilution risk, COVID-related disruption, regulatory approval, intellectual-property protection, and potential market acceptance. One vendor represented 36% of first-half R&D spending. No material litigation was reported.
  • Acurx owes potential development milestone payments related to ibezapolstat, including up to $650,000 beyond the $50,000 already paid, if milestones are achieved, and royalties of 4% of net sales if the product is commercialized. The filing reports no clear quantified expected timing for these contingent payments.

Important facts for investors to verify

  • Current cash runway and burn rate, including how the July financing proceeds and potential warrant exercises affect funding needs and dilution.
  • Phase 2b enrollment progress, trial timing, site activation, and eventual complete efficacy and safety data.
  • Whether the internal-control material weakness has been fully remediated and whether further weaknesses are identified.
  • Reliability and continuity of clinical supply, including dependence on the principal vendor and manufacturing arrangements.
  • Terms and conditions attached to milestone obligations, royalties, warrants, and any future financing.
