Revenue mix and material changes

  • Industrial revenue was $1.745 billion in the quarter, representing 53% of total revenue and increasing 16% year over year.
  • Automotive revenue was $784.8 million, or 24% of revenue, increasing 24%.
  • Communications revenue was $453.5 million, or 14% of revenue, declining 4% due primarily to infrastructure deployment timing.
  • Consumer revenue was $280.1 million, or 9% of revenue, declining 22% amid weakening market trends.
  • Distributors accounted for 61% of quarterly revenue; direct customers accounted for 38%.
  • Gross margin benefited from favorable product mix. The six-month margin comparison also benefited from the absence of a $271.4 million nonrecurring inventory fair-value adjustment recorded in the prior-year period in connection with the Maxim acquisition, as well as Maxim-related synergies.
  • Research and development expense declined 1% for the quarter and 2% for the six-month period, while selling, marketing, general and administrative expense increased 6% and 8%, respectively.
  • Special charges declined to $23.1 million for both the quarter and six-month period, compared with $46.7 million and $106.4 million, respectively, in the prior-year periods. The current-period charge related to global repositioning severance and benefits.
  • Weighted-average diluted shares declined to 508.7 million for the quarter and 510.0 million for the six-month period, reflecting share repurchases.

Guidance, outlook, commentary, and unusual items

  • Management stated that existing liquidity, expected operating cash generation, and available financing should fund operations, capital expenditures, research and development, and dividends for at least the next twelve months.
  • Fiscal 2023 capital expenditures are expected to be approximately 7% to 9% of revenue, above historical levels primarily to expand internal manufacturing capacity.
  • The board declared a quarterly dividend of $0.86 per share on May 23, 2023, expected to total approximately $431.2 million and payable June 14, 2023. The company currently expects quarterly dividends to continue, subject to board approval and financial conditions.
  • The company repurchased $1.808 billion of common stock during the first six months and had $3.2 billion remaining under its authorized repurchase program at April 29, 2023.
  • On April 26, 2023, the company redeemed all outstanding Maxim 2027 Notes, with a principal amount of $59.8 million.
  • The company established a commercial paper program with capacity of up to $2.5 billion and had $253.6 million outstanding at quarter-end.
  • A putative stockholder lawsuit related to the Maxim merger was dismissed with prejudice on May 2, 2023. Plaintiffs filed a motion for reargument on May 9, and the company stated that the ultimate outcome and any potential loss cannot currently be estimated.
  • Tax audits are ongoing, including IRS audits of Analog Devices and pre-acquisition Maxim periods. Gross unrealized tax benefits, including interest and penalties, could decrease by as much as $132.0 million within the next twelve months.
  • Key operating risks include semiconductor demand volatility, changing end-market conditions, supply-chain and manufacturing disruptions, competition, global economic and geopolitical conditions, foreign-exchange exposure, debt obligations, integration and realization of Maxim synergies, litigation, and tax or regulatory changes.

Important facts for investors to verify

  1. Whether industrial and automotive demand remains strong enough to offset weakness in consumer and variability in communications.
  2. Whether inventory growth and the increase in days of inventory reflect planned capacity support or emerging demand and obsolescence risk.
  3. The pace and return on elevated capital expenditures for internal manufacturing capacity.
  4. Debt refinancing requirements, interest expense, commercial paper usage, and compliance with leverage covenants.
  5. The sustainability of gross margins after the favorable product mix and prior-year Maxim inventory-adjustment comparisons normalize.
  6. The outcome of the Maxim-related litigation and ongoing tax audits, including any resulting financial exposure.
  7. Future capital allocation among dividends, share repurchases, acquisitions, debt reduction, and manufacturing investment.
