Revenue growth was broad-based in Industrial, Automotive and Communications, partially offset by weaker Consumer demand. End-market revenue was $1.690 billion in Industrial, $718 million in Automotive, $488 million in Communications and $353 million in Consumer. Distributors represented 62% of revenue and direct customers represented 37%.
At January 28, 2023, cash and cash equivalents were $1.670 billion, compared with $1.471 billion at October 29, 2022. Total debt principal was $6.577 billion, with $6.543 billion recorded as long-term debt. The company had no borrowings under its $2.5 billion unsecured revolving credit facility and was in compliance with debt covenants. Net cash increased by $200 million during the quarter after $654.6 million of share repurchases, $385.5 million of dividend payments and $176.2 million of capital expenditures.
Material Changes Versus the Prior Comparable Period
- Revenue increased $565 million, driven primarily by Industrial, Automotive and Communications demand.
- Gross margin benefited from the absence of the $271.4 million nonrecurring inventory fair-value adjustment recorded in the prior-year quarter following the Maxim acquisition, as well as favorable product mix and Maxim-related synergies.
- Special charges declined to zero from $59.7 million, primarily because prior-year charges related to Maxim integration and workforce initiatives did not recur.
- Research and development expense decreased 3% to $414 million, while selling, marketing, general and administrative expense increased 10% to $326 million.
- Operating income increased $766 million and net income increased $681 million. The prior-year comparison is significantly affected by acquisition-related and inventory accounting items.
- Share repurchases increased substantially year over year: $654.6 million in Q1 FY2023 versus $76.0 million in Q1 FY2022. Approximately $4.3 billion remained authorized for future repurchases.
Guidance, Outlook, Risks and Unusual Items
Management stated that existing liquidity, expected operating cash flow and available financing should be sufficient for operations, capital expenditures, research and development, and dividends for at least the next twelve months. Fiscal 2023 capital expenditures are expected to be approximately 6% to 8% of revenue, above historical levels because of planned internal manufacturing-capacity expansion.
The board declared a subsequent quarterly dividend of $0.86 per share, expected to total approximately $435 million, payable March 8, 2023. Management currently expects quarterly dividends to continue, subject to board approval and financial conditions.
- Key operating risks include semiconductor demand volatility, changing supply and demand conditions, manufacturing delays, product availability, supply-chain disruptions, global economic and geopolitical conditions, competition and talent retention.
- Consumer revenue declined 5% year over year, reflecting weakening market trends.
- Inventory days increased to 118 from 107 at fiscal year-end as the company balanced manufacturing, demand and inventory levels.
- A putative stockholder class action relating to Maxim’s pre-acquisition dividend suspension remains unresolved. The company believes it has meritorious defenses but cannot estimate the outcome or potential loss.
- Tax audits are ongoing, including IRS audits of Analog Devices and pre-acquisition Maxim periods. Gross unrealized tax benefits could decrease by as much as $129 million within the next twelve months.
- The company entered into interest-rate swaps converting exposure on $1.0 billion of fixed-rate 2031 notes to floating-rate debt through April 2031.
- Management concluded that disclosure controls were effective and reported no material changes to internal control over financial reporting.
