Subscription revenue increased 6% to $246.9 million, while license and other revenue declined 9% to $323.5 million. Revenue from suites rose 8% and represented 31% of total revenue; flagship-product revenue fell 9% and was 55% of revenue. Autodesk attributed the overall decline partly to foreign-exchange headwinds; on a constant-currency basis, excluding hedge gains and losses, revenue was flat year over year. Non-GAAP operating margin was 24% versus 25%, and non-GAAP diluted EPS was $0.42 versus $0.47.

By segment, revenue was $212.7 million for Platform Solutions and Emerging Business (down 6%), $172.1 million for Architecture, Engineering and Construction (up 4%), $139.1 million for Manufacturing (down 4%), and $46.5 million for Media and Entertainment (down 8%).

Cash, liquidity and debt

  • Cash and cash equivalents were $1,655.8 million at April 30; marketable securities totaled $824.1 million. Combined cash and marketable securities were $2,479.9 million.
  • Current assets were $2,511.1 million and current liabilities were $979.8 million. Accounts receivable was $285.8 million, down from $495.1 million at January 31; deferred revenue was $663.7 million, up from $647.0 million.
  • Operating cash flow was $224.1 million; investing activities used $131.7 million and financing activities used $50.2 million. Capital expenditures were $25.8 million. Cash increased $43.6 million during the quarter.
  • Senior notes had $750.0 million aggregate principal outstanding, due in 2017 and 2022; their net carrying value was $745.8 million. The $400.0 million revolving credit facility had no borrowings. In May 2013, the facility was extended to May 2018, with reduced facility fees and interest.
  • Deferred revenue included $754.9 million of customer maintenance contracts to be recognized over contract terms. Autodesk repurchased 3.2 million shares for $129.2 million during the quarter.

Material changes and management commentary

  • Lower license revenue and higher cost of revenue pressured gross and operating margins. Cost of revenue rose 15%, including higher cloud-services costs and increased lower-margin hardware and consulting support costs.
  • Net income also reflected an $8.8 million net expense for interest and other items, compared with $3.5 million of net income in the prior-year quarter. Autodesk cited lower investment income, foreign-currency losses and interest expense on the notes.
  • The effective tax rate was 23%, versus 19%; the prior-year period included discrete tax benefits. Gross unrecognized tax benefits were $214.7 million, and the filing said the possible change over the next twelve months could not be estimated.
  • Autodesk completed three acquisitions for approximately $35 million in cash. Their effects were not material to the reported financial statements.
  • The company continued a restructuring plan begun in fiscal 2013, including workforce reductions and facility consolidation; it recorded $0.4 million in additional restructuring charges this quarter.
  • Autodesk reorganized revenue presentation by combining maintenance and cloud-services revenue in “Subscription”; the prior-year figures were reclassified for comparability.

Guidance, risks and contingencies

  • Management expected fiscal 2014 revenue to increase approximately 3% versus fiscal 2013 and operating margin to improve approximately 50–100 basis points. For Q2 FY2014, it expected cost of revenue to rise slightly in dollars and as a share of revenue; marketing and sales, R&D, and general and administrative expenses were expected to remain relatively consistent. These are forward-looking estimates, not assurances.
  • Management identified uneven global economic conditions, demand in customer industries, foreign-exchange movements, and the execution of its transition toward cloud and mobile offerings as important uncertainties. The filing also highlights competition, product adoption, channel health, acquisitions and integration, cybersecurity, intellectual-property protection, and tax matters as risks.
  • Tech Data accounted for 25% of quarterly revenue and 24% of trade receivables, creating distributor concentration exposure. International markets generated 71% of revenue.
  • Autodesk reported ordinary-course legal claims and proceedings; it did not expect pending matters to materially adversely affect consolidated results, cash flows or financial position, but said an unfavorable outcome could materially affect a particular period. No significant off-balance-sheet arrangements were reported.
  • Management stated that available liquidity, expected operating cash flows and the credit facility should be sufficient for working-capital and operating needs for at least the next 12 months. Some foreign earnings are treated as permanently reinvested abroad and could incur additional U.S. tax if repatriated.

Most important facts for investors to verify

  • Whether license revenue stabilizes and suite and subscription growth offsets declines in flagship products; also monitor maintenance billings and renewals.
  • Whether the fiscal 2014 revenue and operating-margin outlook is achieved, particularly given margin compression, cloud investment costs and foreign-exchange exposure.
  • Whether operating cash flow remains strong after the quarter’s favorable working-capital movements, including lower receivables and seasonal subscription collections.
  • Tech Data concentration, international exposure, and the collectability of receivables should be monitored.
  • Review debt-service obligations, the amended revolving facility terms, uncertain tax positions, and developments in legal proceedings and acquisition integration.
