Business context and reporting period
Agios Pharmaceuticals, Inc. is a rare-disease biopharmaceutical company focused on cellular metabolism and classical hematology. This Form 10-K covers the fiscal year ended December 31, 2023; it does not provide a separate Q4 income statement in the supplied filing text.
PYRUKYND (mitapivat) is approved in the U.S., EU and Great Britain for adults with pyruvate kinase (PK) deficiency. The company is developing it for additional indications and advancing AG-946, AG-181 and an Alnylam-licensed siRNA program. The oncology business was sold to Servier in 2021; the company now operates in one segment.
Financial performance and liquidity
| Metric | FY 2023 | FY 2022 |
|---|---|---|
| Total revenue | $26.8 million | $14.2 million |
| PYRUKYND net product revenue | $26.8 million | $11.7 million |
| Cost of sales | $2.9 million | $1.7 million |
| Research and development | $295.5 million | $279.9 million |
| Selling, general and administrative | $119.9 million | $121.7 million |
| Operating loss | $391.5 million | $389.0 million |
| Net loss | $352.1 million | $231.8 million |
| Cash used in operating activities | $296.1 million | $309.5 million |
| Cash, cash equivalents and marketable securities at year-end | $806.4 million | $1.10 billion |
Product revenue rose about 128% year over year. Gross profit calculated from reported revenue less cost of sales was approximately $23.9 million, or 89% of revenue; however, some PYRUKYND manufacturing costs had been expensed before approval and are not included in cost of sales, limiting margin comparability. The accumulated deficit was $822.6 million. The balance sheet reports no borrowings; reported liabilities were mainly operating lease liabilities and accrued expenses.
Management expects existing cash, cash equivalents and marketable securities, anticipated product revenue and interest income, and the potential vorasidenib milestone to fund expenses and capital expenditures through several milestones and at least into 2026. Separately, the financial statement note says liquidity is expected to cover current operations for at least the next 12 months. The longer-range estimate depends on assumptions and includes a contingent milestone; it excludes possible vorasidenib royalties, international commercialization partnerships and other strategic agreements.
Material changes versus prior periods
- Net loss widened by $120.3 million in 2023, primarily because 2022 included a $127.9 million gain from selling future TIBSOVO royalty rights to Sagard and $9.9 million of TIBSOVO royalty income; neither recurred in 2023.
- R&D expense increased $15.6 million, including higher PYRUKYND trial spending and a $17.5 million upfront Alnylam license payment recorded as in-process R&D. Reduced exploratory research spending partly offset these increases.
- Net interest income increased to $33.3 million from $12.8 million, mainly reflecting higher interest rates.
- Cash and marketable securities declined by approximately $290.6 million from year-end 2022. Operating cash use improved, but investment activity and the ongoing operating loss continued to consume resources.
- The exceptional $1.6 billion net income in 2021 reflected the oncology business sale; it is not representative of recurring operations.
Outlook, commentary and principal risks
- Management aims to submit a U.S. NDA for PYRUKYND in non-transfusion-dependent thalassemia by the end of 2024. It expected topline ENERGIZE-T data in mid-2024, pediatric ACTIVATE-kidsT data by year-end 2024, and RISE UP phase 3 enrollment completion by year-end 2024 with topline data in 2025. These are forward-looking estimates, not guarantees.
- After the reporting date, Agios reported that the phase 3 ENERGIZE trial in non-transfusion-dependent thalassemia met its primary endpoint: hemoglobin response occurred in 42.3% of PYRUKYND-treated patients versus 1.6% on placebo. The company reported statistically significant results on key secondary endpoints and four treatment-arm discontinuations due to adverse events. It planned fuller disclosure at a medical meeting.
- AG-946 phase 2a LR MDS results provided preliminary proof of concept: four of 10 patients with low transfusion burden achieved transfusion independence; one of 22 met the hemoglobin-response endpoint. Management expected to assess the results and the phase 2b plan in 2024, with a phase 2b start anticipated mid-2024.
- AG-181’s IND was filed in December 2023; a phase 1 healthy-volunteer study was planned for the first half of 2024. The Alnylam agreement includes up to $130 million in potential development and regulatory milestones, further sales milestones and tiered royalties.
- Agios expects continued losses and significant R&D and commercialization spending and may need additional financing if cash resources prove insufficient. PYRUKYND sales growth, patient uptake, reimbursement and expansion beyond the U.S. remain important uncertainties; access in the EU and Great Britain was through a free-of-charge managed access program.
- Key risks include clinical-trial failure or delay, safety findings, competition, pricing and reimbursement pressure, reliance on third-party manufacturers and CROs, intellectual-property challenges, and dependence on contingent Servier payments. The $200 million vorasidenib milestone is conditional on specified FDA approval by January 1, 2027; associated royalties are also uncertain. The company reported no material legal proceedings at year-end.
Most important facts for investors to verify
- PYRUKYND’s commercial trajectory: U.S. prescription demand, net revenue, patient persistence, reimbursement and international market access.
- Whether planned trial milestones and regulatory filings occur on schedule, and whether the ENERGIZE findings are confirmed by fuller data and regulators.
- Cash burn, investment balances and runway assumptions, including how much the projected runway relies on the contingent vorasidenib milestone or future product revenue.
- Potential obligations under the Alnylam license, including milestone, sales-milestone and royalty terms, alongside the expected development costs.
- Product-revenue estimates and gross-margin interpretation, given rebates, returns and pre-approval manufacturing costs excluded from reported cost of sales.
