Cash flow and liquidity: H1 operating cash use was $1.62 million, investing cash use was $425,000, and financing provided $2.19 million. Cash was $1.75 million at June 30, 2022, roughly unchanged from year-end 2021. Current assets were $3.70 million against current liabilities of $6.99 million. Total liabilities were $34.41 million and stockholders’ equity was $6.01 million.
Debt: At June 30, current convertible notes were $3.38 million and other notes payable were $1.01 million; noncurrent convertible notes were $27.4 million. The $27.4 million balance included a $26 million non-interest-bearing note issued to majority shareholder Ainos KY for acquired intellectual property and equipment, plus $1.4 million of other non-interest-bearing convertible notes. Notes were unsecured; certain notes were due on demand or in 2023.
Material changes, outlook and risks
- Operating loss increased by $1.22 million in Q2 and $2.78 million in H1, mainly reflecting increased R&D, staffing, amortization and co-development activity. SG&A declined year over year, in part because certain 2021 transaction costs did not recur and IP amortization was classified in R&D.
- The company reported going-concern uncertainty: it anticipates continued losses and depends on financing and future profitable operations. Management said available cash, revenues and potential external financing were expected to fund operations for the next 12 months, but acknowledged estimates could prove incorrect and additional capital may not be available on acceptable terms.
- Management’s plans included commercializing POCT devices, pursuing regulatory authorizations and developing VELDONA and synthetic RNA programs. No numerical revenue or earnings guidance was provided. The company expects significant development and commercialization spending.
- Key risks cited include uncertain demand for COVID-19 tests, product development and regulatory outcomes, ability to secure financing, market acceptance, and execution of sales, marketing and growth plans. Management reported disclosure controls effective at June 30 and said it was continuing remediation of previously identified internal-control deficiencies.
- Subsequent events: In August 2022, the company completed a public offering of 780,000 units at $4.25 per unit, plus over-allotment warrants, for gross proceeds of approximately $3.32 million; it reported net proceeds of approximately $2.1 million. It also effected a 1-for-15 reverse stock split. The $27.4 million convertible notes and $3.0 million of related-party convertible notes plus accrued interest converted into shares after quarter-end. These events materially changed the debt and share structure after June 30.
- The filing disclosed substantial related-party transactions, including the $26 million IP and equipment acquisition from Ainos KY and test-kit purchases and sales involving affiliates. It reported no material legal proceedings and no material changes to the risk factors in its prior annual report.
Important facts for investors to verify
- Post-quarter offering proceeds, note conversions, share count and the effects of the reverse split; the filing’s June 30 share counts are pre-split.
- Whether cash, test-kit revenue and available financing are sufficient to meet operating needs, given the going-concern uncertainty and continuing cash burn.
- Progress and regulatory status of the COVID-19 and other POCT products, and the commercial outlook for Taiwan test-kit sales.
- Terms, maturity and conversion mechanics of remaining notes, and the extent of future dilution from equity issuance, warrants, options or conversions.
- Progress in remediating internal-control deficiencies and the company’s ability to manage related-party transactions and development spending.
