- Sales fell 20.9% year over year in Q2 and 23.4% for the first half. Management attributed the declines to COVID-19 and product-cycle transitions in several high-volume embedded antenna products.
- Gross margin improved by 0.9 percentage point in Q2 and 1.7 points for the first half, which management attributed to favorable product mix. Despite lower operating expenses overall, higher general and administrative costs and lower sales drove operating and net losses.
- At June 30, cash and cash equivalents were $28.593 million and short-term investments were $6.520 million, versus $13.197 million and $21.686 million, respectively, at year-end 2019. Current assets were $41.733 million and current liabilities $4.458 million. Total liabilities were $4.543 million; the filing reports no outstanding borrowings.
- Six-month operating cash flow was $1.290 million, compared with $0.224 million in 2019. Investing activities provided $14.798 million, principally from $15.899 million of investment maturities; financing activities used $0.517 million, including $0.608 million of share repurchases. Capital expenditures were $0.349 million. The large investing cash inflow primarily reflects portfolio maturities, not operating performance.
Changes, outlook, and key risks
- Operating expenses for the first half were nearly flat year over year at $12.627 million. R&D increased 2.2%, sales and marketing declined 35.2% (including lower personnel and travel costs and canceled trade shows), and G&A increased 35.0%, primarily due to personnel-related expenses.
- The $10 million revolving credit facility matured January 31, 2020 and was not renewed. Management said existing cash and expected operating cash flows should cover working-capital needs for at least 12 months. No formal numerical earnings or revenue guidance is provided; management expects continued investment in sales, engineering, R&D, and capital expenditures.
- COVID-19 had a material adverse effect on operations. Management reported some consumer-market order rebound in Q2 but warned that shipment disruptions, delayed launches, and economic uncertainty could continue to hurt results.
- Airgain announced its AirgainConnect antenna-modem platform and AC-HPUE product in May 2020; the filing states AT&T certified AirgainConnect for its LTE network in August and that AC-HPUE shipments were expected in Q4 2020. Commercial success depends partly on AT&T’s FirstNet HPUE feature and timely, reliable modem supply from Assured Wireless.
- Customer and supplier concentration is material: Customer A represented 31% of Q2 revenue and Customer B 14%; products were primarily made by two vendors in China and Airgain’s Arizona facility. The company had also engaged a Myanmar manufacturer, with potential ramp-up and quality risks. Management identifies dependence on a limited number of manufacturers and evolving product markets as risks.
- The company repurchased about 69,000 shares for $0.608 million in the first half. It extended its San Diego headquarters lease through November 2025; disclosed future minimum operating lease payments totaled $4.078 million. No material legal proceedings were reported. Disclosure controls were assessed as effective.
Important facts for investors to verify
- Whether revenue and customer orders recover from COVID-19 disruption and product-cycle transitions, and whether gross-margin improvement persists.
- AirgainConnect/AC-HPUE certification, AT&T network feature availability, modem supply, launch timing, and actual commercial adoption.
- Customer concentration and the reliability, quality, and diversification of contract manufacturing, including the Myanmar supplier ramp.
- Cash generation and investment liquidity: distinguish investment maturities from recurring operating cash flow; also note the expired credit facility.
- Potential dilution from equity awards: 1.898 million potentially dilutive shares were excluded from Q2 2020 diluted EPS as anti-dilutive.
