Revenue, profitability and material changes

  • Q3 revenue fell 15.9%; nine-month revenue fell 6.2%. Subscription revenue increased 3.8% for Q3 and 2.9% for nine months, while content licensing and other revenue declined 58.5% and 32.9%, respectively, and advertising fell 12.3% and 5.9%.
  • Domestic streaming subscription revenue grew 41.0% in Q3 and 33.5% over nine months. Paid streaming subscribers reached 11.1 million at quarter-end, up 44% year over year. Growth was partly offset by declining linear affiliate revenue.
  • Management attributed weaker content licensing revenue chiefly to delivery timing and fewer episodes of The Walking Dead and Fear the Walking Dead than in the prior-year periods. Domestic advertising pressure reflected lower linear ratings and softer markets; international results also faced currency headwinds and the planned wind-down of two U.K. channels.
  • Q3 operating income and net income declined despite lower operating expenses. Nine-month operating income and net income rose, but the comparison benefited from the absence of $159.0 million of 2021 impairment and other charges, including a $143.0 million charge associated with the prior-year $200 million Frank Darabont settlement and a $16.1 million LiveCo disposal loss. Nine-month adjusted operating income fell 15.7%.
  • Q3 operating margin was 22.1%; nine-month operating margin was 22.5%. Adjusted operating income is a company-defined non-GAAP measure and is not directly comparable across companies.

Cash flow, debt and liquidity

  • Nine-month operating cash flow was $36.6 million, down from $44.0 million. Management reported that cash generated before program-rights payments and other adjustments was substantially offset by $1,065.9 million of program-rights payments.
  • Cash and cash equivalents were $790.9 million at September 30, 2022, including approximately $294.6 million held by foreign subsidiaries. Cash declined from $892.2 million at December 31, 2021. Nine-month investing cash outflow was $28.6 million and financing cash outflow was $80.2 million.
  • Long-term debt, net, including its current portion, was approximately $2,818.9 million; principal debt was $2,849.7 million. The $500 million revolving credit facility was undrawn. The company repaid $25.3 million of Term Loan A principal during the nine-month period and reported compliance with debt covenants.
  • Management said cash on hand, operating cash flow and revolver availability should cover liquidity needs and debt service for the next 12 months and longer. It also stated that it does not expect operating cash flow to repay all debt at maturity and will depend on capital-market access to refinance or repay outstanding balances.

Outlook, risks and contingencies

  • The filing provides no specific numerical earnings or revenue guidance. Management expects continued investment in original programming and notes that content spending is generally funded six to nine months before airing; content costs, programming schedules and viewer demand can make results and cash flows variable.
  • Key disclosed risks include substantial debt and refinancing needs, competition for viewers and content, declines in linear subscribers or advertising demand, inflation and recession risk, foreign-exchange and interest-rate movements, and uncertainty around streaming growth and program performance. Management said it did not expect COVID-19 to impair liquidity or debt-covenant compliance.
  • The company is defending two remaining breach-of-contract claims in the Walking Dead Litigation; trial was scheduled for February 2023. Management said it believes the claims are without merit, but the ultimate outcome and potential liability could not be determined.
  • Foreign currency translation reduced comprehensive income by $125.2 million over nine months and contributed to a larger accumulated other comprehensive loss. The company also reported $44.7 million of foreign tax credit carryforwards fully offset by a valuation allowance.
  • Disclosure controls and procedures were assessed as effective, and the filing reported no material changes in internal control over financial reporting during the quarter.

Important facts for investors to verify

  • Whether streaming subscriber and revenue growth can offset linear affiliate declines, advertising weakness and lower content licensing revenue.
  • Whether the low nine-month operating cash flow reflects content-payment timing or persists, given substantial program-rights spending.
  • Debt maturities, refinancing access and interest-rate sensitivity; the filing estimates a 100-basis-point rate increase would add approximately $6.5 million to annual interest expense.
  • The effect of foreign-exchange movements and the U.K. channel wind-down on International and Other results.
  • The status and potential financial exposure of the remaining Walking Dead Litigation claims.
