Product revenue was $7,246.7 million, down 9.3%. MS revenue fell 14.1% to $4,661.9 million, principally reflecting generic competition for TECFIDERA, lower interferon demand and TYSABRI pressure. Rare-disease revenue rose 0.5% to $1,803.0 million, including $55.9 million of SKYCLARYS revenue recognized after the Reata acquisition. Biosimilars revenue increased 2.5% to $770.0 million. Anti-CD20 program revenue was $1,689.6 million, down 0.6%; OCREVUS royalties grew, while Biogen’s U.S. profit share for RITUXAN, GAZYVA and LUNSUMIO declined.

Total cost and expense rose 29.7% to $8,538.8 million. Cost of sales was 25.8% of revenue, versus 22.4% in 2022; research and development was 25.0% of revenue. The decline in net income also reflects the absence of major 2022 gains, including the $1.5 billion Samsung Bioepis sale gain and $503.7 million building-sale gain, alongside the 2022 $900.0 million litigation settlement charge. FY2023 income before tax was $1,296.8 million; the effective tax rate was 10.4%.

Operating cash flow improved, while investing cash flow was negative $4,101.0 million, primarily due to the $6,926.1 million net cash acquisition outflow for Reata. Capital expenditures were $277.0 million. Cash and marketable securities fell mainly to fund Reata; the company also drew $1.0 billion in term loans and repaid $350.0 million of the 364-day tranche. Current assets were $6,859.3 million and current liabilities $3,434.3 million.

Material changes and outlook

  • Biogen acquired Reata in September 2023 for approximately $6.6 billion in cash for shares, plus equity-award payments. It acquired SKYCLARYS and other pipeline assets; the purchase accounting included $4.2 billion of SKYCLARYS commercialization rights, $2.3 billion of IPR&D and a $1.3 billion inventory fair-value step-up.
  • Fit for Growth is expected to deliver $1.0 billion in gross and $800 million in net operating-expense savings by 2025, with approximately 1,000 net headcount reductions and $260–$280 million of restructuring charges. About $212.5 million of 2023 charges were recorded for the cost-saving initiatives, in addition to Reata integration charges.
  • Management expects 2024 MS revenue to continue declining; rare-disease revenue to grow with SKYCLARYS launches; SPINRAZA revenue to be relatively flat; and biosimilars revenue to grow modestly. Contract-manufacturing revenue is expected to be lower than 2023, and core R&D and SG&A expenses are expected to decline. These are directional outlook statements, not full-year numerical guidance.
  • LEQEMBI received traditional U.S. approval and launched in Japan; China approved it in January 2024. SKYCLARYS received E.U. approval in February 2024. QALSODY has U.S. accelerated approval, contingent on verification of clinical benefit. The FDA rejected zuranolone for MDD, requiring additional study or studies; it is approved for postpartum depression.
  • ADUHELM development and commercialization were discontinued, with study close-out costs. Biogen also discontinued or curtailed several pipeline programs, including BIIB093 and BIIB132, and plans to terminate its FAMPYRA collaboration effective January 2025.

Risks, contingencies and items to monitor

  • Generic and biosimilar competition, particularly for TECFIDERA, TYSABRI and RITUXAN, and competition to SPINRAZA, may pressure revenue, pricing and market share. Biogen expects ongoing MS declines.
  • LEQEMBI and SKYCLARYS are early in commercialization; uptake, reimbursement, launch execution and regulatory outcomes remain uncertain. LEQEMBI is a shared-cost and shared-profit collaboration with Eisai.
  • Cash and securities declined substantially after Reata, while debt increased. The filing states liquidity is expected to be sufficient for the foreseeable future, but cash generation may be affected by product declines and investment needs.
  • Potential collaboration milestones total up to approximately $5.1 billion, contingent on achievement; up to approximately $109 million could be payable in 2024 if specified milestones are met. The company also has $12.2 billion of disclosed contractual obligations, including debt and leases.
  • Pending matters include ADUHELM securities litigation, patent disputes, government investigations relating to ADUHELM and certain foreign operations, and other claims. The filing does not provide a clear estimable loss range for all matters.
  • Other notable risks include drug-pricing reforms under the IRA, manufacturing and third-party supply constraints, foreign-exchange exposure, cybersecurity, and uncertainty around utilization of manufacturing capacity. The company sold all marketable debt securities by year-end and reported no material liquidity limitations from banking-sector uncertainty.

Investor verification priorities

  • Check the audited financial statements and notes for the full Reata purchase-price allocation, acquired inventory step-up amortization and future SKYCLARYS economics.
  • Track product-level sales, especially TECFIDERA, TYSABRI, SPINRAZA, OCREVUS royalties, LEQEMBI and SKYCLARYS, and compare launch performance with management’s 2024 outlook.
  • Validate Fit for Growth savings, restructuring costs, workforce reductions and whether cost savings are offset by reinvestment or execution costs.
  • Review cash generation, debt maturities and repayment needs, working-capital changes, and the remaining Samsung BioLogics deferred payment due in April 2024.
  • Monitor legal and regulatory developments, including TECFIDERA exclusivity enforcement, QALSODY confirmatory evidence, and the status and potential impact of disclosed litigation and investigations.
