Non-interest income included a $110,000 gain on sales of four agency securities. Income benefited from $740,000 of gains on payoffs of purchased credit-impaired loans. The quarter’s margin also benefited from acquired-loan payoffs and interest-rate-swap fair-value adjustments. Cash flows reflected $55.0 million of securities-sale proceeds and $47.7 million of borrowing repayments.

Material changes, outlook, and risks

  • Loans originated totaled approximately $29 million, below approximately $37 million of payoffs; a $13 million investor commercial real estate loan accounted for about 36% of payoffs. Management said it declined to match a competitor’s aggressive terms. The loan pipeline was described as robust.
  • Deposits fell partly because large commercial customers withdrew funds in the normal course of their businesses. Non-interest-bearing deposits were 45.1% of deposits; total deposit cost was 0.08%. Management reported $303.6 million in liquid assets and substantial borrowing capacity.
  • Management’s 2016 priorities include relationship banking, organic growth and strategic acquisitions, credit quality, and expense control. It stated that ample liquidity and capital could support growth and acquisitions; no specific earnings or revenue guidance was provided.
  • Management cautioned that net interest margin may compress if market rates do not rise, and that acquired-loan prepayments and payoffs—and the resulting accretion—are unpredictable. A modeled immediate 200-basis-point rate increase would reduce net interest income about 1% in year one and raise it about 5% in year two.
  • Credit risks include borrower repayment capacity and collateral values, particularly in commercial real estate and construction. Classified loans were $22.3 million; troubled debt restructurings were $19.7 million. The allowance methodology was enhanced in Q1, with no material effect reported.
  • Off-balance-sheet loan commitments and standby letters of credit totaled $391.0 million; the related reserve was $749,000. Management believed ordinary-course litigation would not materially affect results. Visa interchange litigation remained uncertain; the company reported no significant future cash settlement payments known to be required.
  • Disclosure controls were assessed as effective; no significant change in internal control over financial reporting was reported.

Important facts for investors to verify

  • Whether loan and deposit pipelines translate into sustained growth, given Q1 loan payoffs and deposit outflows.
  • How much of Q1 earnings and the 4.04% margin reflects potentially non-recurring acquired-loan payoff gains and swap valuation effects.
  • Credit performance, collateral values, TDR and classified-loan trends, and the adequacy of the $15.0 million allowance despite no Q1 provision.
  • Liquidity and funding resilience, including the $117.7 million of time deposits maturing over the next twelve months and utilization of $391.0 million in commitments.
  • Whether margin compression, interest-rate movements, Visa litigation, or regulatory/accounting changes materially affect future results.
