Kanzhun Ltd annual report, Q4 FY2023

Kanzhun Ltd. — FY2023 Form 20-F Summary

Reporting period: Fiscal year ended December 31, 2023. This annual filing does not provide clear standalone fourth-quarter financial results; the figures below are annual. Unless otherwise stated, amounts are RMB millions.

Business context

Kanzhun operates the BOSS Zhipin online recruitment platform in China, connecting job seekers with employers through mobile services, recommendations and direct messaging. Nearly all revenue comes from online recruitment services sold to enterprise customers. The Cayman Islands parent conducts China operations through subsidiaries and a consolidated variable interest entity (VIE), controlled through contractual arrangements rather than equity ownership.

  • Enterprise recruitment revenue was RMB5,889 million, up 32.0% and 98.9% of total revenue. Other revenue was RMB63 million.
  • Gross margin, calculated from reported revenue and cost of revenue, was approximately 82.2%, versus 83.3% in 2022. Cost of revenue rose 40.4%, mainly from server, bandwidth and payment-processing costs.
  • Sales and marketing expense was RMB1,991 million, broadly flat year over year, while falling to 33.5% of revenue from 44.4%. Advertising expense declined to RMB582 million from RMB793 million, partly because 2023 lacked a comparable FIFA World Cup campaign.
  • R&D expense increased 30.5% to RMB1,544 million. General and administrative expense increased 12.8% to RMB812 million. Share-based compensation totaled RMB1,057 million, versus RMB692 million in 2022.
  • Net interest and investment income increased to RMB607 million from RMB226 million and contributed materially to FY2023 earnings. It was attributed mainly to higher time deposits and financial-product investments.
  • Cash and cash equivalents were RMB2,473 million at year-end, down from RMB9,752 million. Time deposits and short-term investments rose to RMB10,437 million combined; together with cash, these totaled RMB12,910 million, versus RMB13,210 million in 2022.
  • Investing cash outflow was RMB9,939 million, reflecting purchases of time deposits, short- and long-term investments and equipment, partly offset by maturities. Financing cash outflow was RMB417 million, primarily dividends and share repurchases, partly offset by proceeds from award exercises.
  • Total liabilities were RMB4,511 million and shareholders’ equity RMB13,429 million. The filing reports no borrowings as a material obligation; operating lease liabilities were RMB280 million, including RMB155 million current.
  • Average monthly active users rose 47.4% to 42.3 million; paid enterprise customers rose to 5.2 million from 3.6 million. The platform served 24.5 million verified enterprise users and 166.8 million verified job seekers at year-end.

Material changes, outlook and unusual items

  • The company moved from an operating loss in 2022 to operating income in 2023, alongside strong revenue growth and lower sales-and-marketing expense as a share of revenue. Net income also benefited from the large increase in investment income.
  • Operating cash flow improved to RMB3,047 million, supported in part by RMB733 million of increased deferred revenue and non-cash share-based compensation of RMB1,057 million.
  • Management said available cash resources were sufficient for anticipated working capital and capital expenditure needs for at least the next 12 months. The filing gives no quantified revenue or earnings guidance.
  • The board approved and paid a special dividend of US$0.09 per Class A share, or US$0.18 per ADS, totaling approximately US$79.2 million. A further repurchase authorization of up to US$200 million was approved in March 2024.
  • In February 2024, the company acquired approximately 77% of W.D Technology Investment Group, a blue-collar recruitment services provider, for approximately US$52.7 million; purchase-price allocation was still under evaluation.
  • Material risks include the VIE structure and uncertainty over enforceability of its contracts; evolving PRC regulation of overseas listings, data and cybersecurity; and the absence of a required online audio-visual transmission license for certain platform features. The company says those services generate an insignificant portion of revenue and are not material to its business.
  • BOSS Zhipin’s new-user registration suspension related to a CAC cybersecurity review ended on June 29, 2022. The previously disclosed U.S. securities class action was finally settled and terminated in April 2023 for US$2.25 million, without admission of wrongdoing.
  • The auditor issued an unqualified opinion on the financial statements and internal control over financial reporting as of December 31, 2023. Management also concluded disclosure controls were effective.

Most important facts to verify

  • Review the full audited statements and notes for the composition, liquidity, maturity and risk profile of the RMB12.9 billion in cash, time deposits and short-term investments, and the source and repeatability of RMB607 million in investment income.
  • Confirm the durability of revenue growth, paid-customer additions and user engagement, particularly if Chinese hiring demand weakens or competition increases.
  • Assess the effect of RMB1,057 million in share-based compensation, award-related dilution and the planned repurchases on per-share results and cash resources.
  • Evaluate PRC regulatory exposure, including the VIE contractual structure, overseas-offering filing requirements, data rules and the unlicensed audio-visual features.
  • Check post-year-end developments, including the W.D Technology acquisition, the new repurchase program and any subsequent changes to liquidity or capital allocation.
