Cash and investments totaled approximately $157.48 million at quarter-end. Operating cash use increased year over year, primarily alongside increased clinical-trial and other research and development spending. Investing cash inflow of $21.87 million chiefly reflected maturities of investments, rather than operating cash generation. As a development-stage company with no revenue, profit and operating margins are not meaningful. Accumulated deficit was $108.24 million.

Material changes and financing

  • Research and development costs rose $4.58 million; the company attributed most of the increase to VIKTORIA-1 and other clinical-trial activity. General and administrative costs rose $0.46 million, including higher stock-based compensation and public-company costs.
  • Interest expense increased to $1.24 million from $0.44 million, reflecting higher rates and the additional $20 million loan tranche funded in December 2022. Interest income rose to $1.85 million from $0.01 million, reflecting higher rates and larger cash and investment balances.
  • Q1 operating cash use was $12.87 million, versus $5.93 million a year earlier. Quarter-end cash increased because investment maturities provided investing cash inflow.
  • The Innovatus agreement permits up to $75 million in term loans. $35 million of principal was outstanding; additional tranches are subject to clinical milestones, financial covenants and other conditions. Scheduled future principal payments, including accrued PIK interest, total $36.19 million, principally in 2025–2027.
  • Management said current cash, investments and available Innovatus borrowings should fund operations and obligations for at least the next 12 months. It also cautioned that estimates depend on assumptions and additional capital may be needed; financing may be unavailable on acceptable terms and equity issuance could dilute shareholders.

Outlook, programs and risks

  • VIKTORIA-1, a Phase 3 trial of gedatolisib regimens in HR+/HER2- advanced breast cancer after prior CDK4/6 inhibitor therapy, was enrolling patients. The company selected about 200 sites; the first dose was administered in December 2022.
  • Four Phase 2 trials are underway evaluating other targeted therapies in patients selected using CELsignia tests. The company expects research and development and general and administrative expenses to increase; it also anticipates higher sales and marketing costs if it moves toward commercialization.
  • In May 2023, after quarter-end, the company reported updated Phase 1b treatment-naïve data: median progression-free survival was 48.6 months in Expansion Arm A (n=30) and 45.8 months in Escalation Arm A (n=11). These are company-reported clinical results, not confirmatory Phase 3 findings.
  • COVID-19-related enrollment delays shifted expected interim FACT-1 and FACT-2 results to the first half of 2024, with final results expected about nine months later. Further delays remain possible.
  • Key risks include clinical efficacy and safety, regulatory approval and commercial adoption, reimbursement and partnering, trial timing and costs, competition, intellectual-property matters, and the need for additional financing. Under the Pfizer license, potential development and commercial milestones total up to $335 million, in addition to tiered royalties.
  • There were no material legal proceedings disclosed. Management stated disclosure controls were effective and reported no material changes in internal control over financial reporting.

Investor verification priorities

  1. Track VIKTORIA-1 enrollment, timing, trial design and eventual results; distinguish exploratory Phase 1b findings from Phase 3 evidence.
  2. Monitor quarterly operating cash use, investment balances and management’s stated at-least-12-month funding outlook, including assumptions behind it.
  3. Review Innovatus borrowing availability, milestone and covenant conditions, interest and PIK accrual, and scheduled debt payments.
  4. Assess potential dilution from outstanding preferred stock, warrants, options and any future equity or convertible financing.
  5. Verify FACT-1 and FACT-2 timelines and whether enrollment delays or other operational issues affect the clinical pipeline.
