Amounts are U.S. dollars. Revenue mix shifted: licensing represented 58% of revenue versus 42% a year earlier, while royalties represented 42% versus 58%. The royalty decline reflected lower 2G feature-phone volumes during the transition toward lower-cost smartphones. Customers reported shipments of 212 million CEVA-powered chipsets, down from 283 million.

Financial position and liquidity

  • At March 31, CEVA reported $28.2 million of cash and cash equivalents, $42.1 million of short-term bank deposits, $65.3 million of marketable securities, and $17.1 million of long-term bank deposits: approximately $152.8 million combined, versus $151.6 million at year-end.
  • Total assets were $212.5 million; stockholders’ equity was $191.4 million. The balance sheet reports no borrowings or other debt.
  • Operating cash flow was $4.8 million. Investing activities provided $2.4 million, principally reflecting investment maturities and sales; financing activities used $3.0 million, including $4.1 million for share repurchases.
  • CEVA repurchased 235,619 shares at an average $17.51 per share during the quarter; 991,529 shares remained authorized for repurchase.
  • Marketable securities were principally corporate bonds. Management considered unrealized losses temporary and reported no other-than-temporary impairment charge in the quarter.

Material changes and operating developments

  • Higher licensing revenue more than offset lower royalties, lifting revenue and gross margin. CEVA signed four license agreements in the quarter, targeting CDMA2000 for LTE baseband, network infrastructure, and solid-state drives. Management also described agreements with a smartphone chipset provider and a major semiconductor company for network infrastructure applications.
  • Operating expenses rose 13% to $10.4 million, mainly from higher R&D personnel and project costs, salary increases, and equity compensation, partly offset by increased research grants. R&D expense rose to $6.0 million; R&D headcount increased to 146 from 128.
  • Financial income declined to $0.46 million from $0.73 million, reflecting lower investment balances, yields, and realized gains. Income tax expense increased to $0.61 million from $0.33 million, primarily due to higher domestic income.
  • Customer concentration increased: the five largest customers accounted for 77% of revenue, versus 59% a year earlier. Three customers represented 22%, 22%, and 16% of Q1 revenue.

Outlook, risks, and other disclosures

  • Management expects cash, deposits, marketable securities, and operating cash flow to fund operations for at least 12 months, while cautioning that revenue and expense assumptions may not prove accurate. No numerical revenue or earnings guidance was provided.
  • Management identified potential growth in low-cost smartphones, LTE, base-station infrastructure, audio and voice processing, computational photography, embedded vision, and connectivity. These are expectations, not assured outcomes.
  • Key risks include reliance on a limited number of customers and on handsets and mobile broadband; volatile and difficult-to-forecast license timing and royalties; pricing pressure and customer consolidation; competition and in-house alternatives; product-development and design-win uncertainty; foreign-exchange exposure; and international, including Israel-related, operating risks.
  • CEVA received $999,000 in Israeli and European Union research grants in Q1. Grant eligibility depends on meeting program conditions. Israeli tax benefits are also conditional and are scheduled to begin expiring in 2017.
  • Foreign-currency hedges cover portions of expected non-U.S.-dollar payroll costs; management cautioned that hedges may not fully offset currency movements. Customer and bank concentration, and possible market-value declines in corporate bonds, are additional exposures.
  • The filing reports no legal proceedings believed likely to have a material effect, no material change in internal control over financial reporting, and no material risk-factor changes except updates to specified existing risks.

Important facts for investors to verify

  • Whether the licensing surge is repeatable, and how much future revenue depends on new agreements versus royalty-bearing shipments.
  • Whether chipset shipments and royalty revenue recover as customers transition from feature phones to smartphones and LTE products.
  • Exposure to major customers: the largest five generated 77% of Q1 revenue, and the five largest royalty payers generated 85% of royalty revenue.
  • Cash-flow sustainability, investment portfolio quality and maturities, and the pace and remaining authorization of share repurchases.
  • Continued eligibility for research grants and Israeli tax benefits, including the effect of their scheduled expirations.
