COMPUGEN LTD annual report, Q4 FY2014

Compugen Ltd. — FY2014 Form 20-F

Business context and reporting period

This is an annual report for the fiscal year ended December 31, 2014, prepared under U.S. GAAP—not a standalone fourth-quarter filing. Compugen is an early-stage drug discovery company focused on computationally predicted and experimentally validated monoclonal antibody and therapeutic protein candidates, primarily for oncology and immunology. Its business model relies mainly on licensing and collaborations; substantially all programs remain in discovery or early preclinical development.

Revenue rose 248%, principally from recognizing $7.2 million of Bayer preclinical milestone payments and a greater portion of its upfront license payment. Bayer accounted for 98% of revenue; Neviah research services contributed $0.21 million. R&D expense increased 23% to $15.07 million, while G&A rose 12% to $5.45 million. Financial income fell to $1.76 million from $3.46 million, mainly because realized gains on Evogene share sales were lower.

  • Cash flow: operating cash use was $11.15 million, versus $6.44 million in 2013; investing cash use was $64.09 million, largely reflecting investment in bank deposits; financing cash inflow was $72.13 million.
  • Liquidity: year-end cash and cash equivalents were $25.64 million, short-term deposits $47.00 million, restricted cash $0.54 million, and long-term deposits $35.03 million. Cash, cash equivalents, and short- and long-term deposits totaled approximately $107.7 million, excluding restricted cash and Evogene shares.
  • Balance sheet: total assets were $114.99 million and shareholders’ equity $106.12 million. No conventional debt balance is reported; current liabilities were $6.59 million, including deferred revenue, payables, and accruals.
  • Ordinary shares outstanding increased from 41.00 million to 50.25 million. The 2014 public offering raised $72.5 million gross; the company also issued 1.6 million shares to Baize under a funding-agreement conversion.

Material changes, outlook, risks and unusual items

  • Management said 2015 R&D expense would remain the largest operating expense, exceed 70% of total operating expenses, and the R&D budget was expected to rise more than 40% versus 2014. The company expected continued net losses.
  • Management stated that available cash and bank deposits were expected to fund operations for at least 24–36 months; elsewhere it said working capital was sufficient for at least 12 months. These are management estimates, not guarantees.
  • The Bayer agreement covers two immune-checkpoint programs, provides potential aggregate milestones exceeding $500 million (including up to $30 million in preclinical milestones), and mid- to high-single-digit royalties on approved-product sales. These amounts are contingent; Bayer may terminate the agreement.
  • In August 2014, Compugen terminated Baize’s prior participation and exchange rights and issued Baize 1.6 million shares. Baize retained a right through December 31, 2015 to receive 5% of specified third-party cash consideration. The transaction generated a reported $0.79 million financial expense.
  • Evogene holdings declined to $1.05 million from $4.57 million, following sales and market-value changes. The company recorded $3.41 million of other comprehensive loss related to Evogene and currency derivatives.
  • Key risks include reliance on one major customer/collaboration, early-stage candidate and clinical-development uncertainty, continued losses and possible future financing, competitive and patent risks, reliance on third parties, Israeli geopolitical and currency exposure, and possible disruption from a contemplated Tel Aviv facility move in late 2015.
  • The independent auditor issued an unqualified opinion on the financial statements and internal controls; management also reported effective disclosure controls and internal control over financial reporting at year-end. The filing reports no material pending legal proceedings.

Most important facts for investors to verify

  • Review the audited statements and notes for the composition, maturity, restrictions, and accessibility of cash and deposits, and reconcile management’s 12-month and 24–36-month liquidity statements.
  • Confirm the revenue-recognition schedule for Bayer upfront consideration, the status and terms of remaining milestones, and the extent of continuing revenue concentration.
  • Track 2015 R&D spending, operating cash burn, and actual pipeline progress against management’s stated plans.
  • Assess potential dilution from outstanding options, shelf registrations, and other equity-linked arrangements, and verify Baize’s remaining participation rights.
  • Evaluate candidate validation, partner interest, patent protection, and the possibility of Bayer termination; potential milestone and royalty amounts are not assured revenue.
