Liquidity and cash flow. Cash, restricted cash and restricted deposits totaled $83.1 million; short-term investments were nil, compared with $17.5 million in FY2023. Current assets were $265.0 million and current liabilities $190.5 million. Total liabilities were $257.3 million and equity $214.7 million. Operating cash generation improved by $71.5 million year over year. Investing activities provided $9.4 million and financing activities used $2.5 million. Management said cash, investments and expected operating cash generation should cover anticipated needs for at least 12 months.
Other metrics. Revenue backlog, reported as remaining performance obligations, was $591.9 million, including $302.5 million expected to be recognized within one year; the filing cautions that timing and amount may change. Two government customers represented approximately 27.5% of FY2024 revenue. The company had approximately 1,600 employees and 71.0 million ordinary shares outstanding at year-end.
Material changes versus FY2023
- Revenue was essentially flat, up 0.4%, while gross profit rose $23.3 million and gross margin expanded approximately 7.1 percentage points.
- Operating loss narrowed by $85.3 million, primarily reflecting lower operating expenses: R&D declined $33.0 million and selling, general and administrative expenses declined $28.6 million. Cost reductions, restructuring and the SIS divestiture contributed to the declines.
- Net loss attributable to Cognyte narrowed by $98.6 million. FY2024 included a $1.6 million income tax benefit, versus a $13.0 million tax provision in FY2023; the FY2024 benefit included release of tax contingencies.
- Operating cash flow moved from a $37.0 million outflow to a $34.6 million inflow. Cash collections and working-capital movements were significant drivers, so this change may not indicate a recurring trend.
- Regional revenue mix shifted: EMEA rose to 55% from 43% of revenue, while APAC fell to 28% from 37% and the Americas to 17% from 20%.
Comparisons are affected by the December 2022 sale of the Situational Intelligence Solutions (SIS) business; prior-period results include SIS. FY2024 software revenue also benefited from increased appliance deliveries.
Outlook, risks and unusual items
- Outlook: The filing gives no numerical revenue, earnings or margin guidance. Management describes continued investment in investigative analytics, AI and open-interface software, expanding adoption among existing customers, and winning additional government customers. Results are subject to long sales cycles, seasonal patterns and large, uneven orders.
- Geopolitical and operating risks: The Israel-Hamas war may disrupt personnel, suppliers and customer activity; the company also cites regional escalation and Red Sea shipping disruption risks. The Russia-Ukraine conflict may affect supply chains, operations in Eastern Europe and government budgets.
- Customer and regulatory exposure: Most revenue comes from government customers; contracts may be delayed, reduced or terminated, and two customers jointly contributed about 28% of revenue in each of FY2024 and FY2023. Export controls, privacy rules, scrutiny of surveillance technologies, and reputational concerns could restrict sales.
- Technology and security: Competition, rapid technology change and AI-related development, regulatory, bias, data and cybersecurity risks could affect products and market position. The company reported attempted cyber-attacks but said it was not aware of a material cybersecurity incident during FY2024.
- Credit facilities: The extended facilities run through January 2026, bear interest based on Term SOFR plus a margin, and include financial covenants. Cognyte said it met all covenants at January 31, 2024. It also reported $50 million of customer-related bank guarantees and letters of credit, plus $3.6 million of other bank guarantees.
- SIS sale: The divestiture generated a $4.8 million additional pre-tax gain in FY2024 from a working-capital adjustment. A $4.7 million holdback was paid during FY2024; final potential working-capital adjustments remained pending, and earn-out targets had not been met as of year-end.
- Tax and legal matters: A $4.7 million uncertain tax position and corresponding indemnification asset related to Verint were reversed in FY2024 after the statute of limitations expired. A U.S. securities class action alleges misleading disclosures relating to social-media terms and export controls; Cognyte recorded no loss accrual and sought dismissal. A separate Israeli employee-options class-action settlement totals $16 million, payable by Mavenir/related entities, with Verint as guarantor; the filing states an installment was paid in March 2024.
- Impairments and controls: No goodwill impairment was recorded; goodwill was $126.6 million. Management and the auditor concluded internal control over financial reporting was effective as of January 31, 2024, and the financial statements received an unqualified audit opinion.
Investor verification priorities
- Confirm the intended period: this filing reports FY2024, not standalone Q4 FY2022.
- Assess whether improved margins and operating cash flow are sustainable, given cost reductions, working-capital changes, appliance deliveries and the SIS divestiture.
- Track recurring revenue, renewals, backlog conversion and customer concentration, including the two government customers’ purchasing patterns.
- Review unrestricted liquidity, covenant headroom, guarantees, purchase obligations and the timing of collections from government customers.
- Monitor the Israel security situation, supply-chain exposure, export and privacy regulation, cybersecurity risks, and the status and potential costs of disclosed tax and legal matters.
