Quarterly sales decreased 0.6%; six-month sales decreased 2.6%. Acquisitions and pricing increases partly offset lower volume and unfavorable foreign-currency translation. General and administrative expense increased to $22.0 million in the quarter from $13.3 million, primarily because of $5.3 million of Magnetek acquisition costs and additional acquired-company expenses. Interest expense declined to $1.6 million from $3.3 million because higher-cost senior notes were replaced with lower-cost term debt.
The quarterly effective tax rate was 111%, driven by a $2.0 million valuation allowance on deferred tax assets of certain foreign subsidiaries. Management estimates a fiscal 2016 effective tax rate of approximately 38% to 42%.

Outlook, Risks and Contingencies
Management is pursuing growth through international expansion, new products, targeted vertical markets, acquisitions, Lean manufacturing and cost-reduction initiatives. Demand is monitored through industrial-capacity-utilization data; the filing characterizes Eurozone growth prospects as weak. Management believes available cash, operating cash flow and revolver capacity will fund operations and planned capital expenditures for at least the next 12 months, subject to execution of the business plan and effective working-capital management.
- Debt covenants include a minimum fixed-charge coverage ratio of 1.25x and a maximum net total leverage ratio generally of 3.50x, with temporary acquisition-related flexibility. The filing reports March 31, 2015 covenant ratios of 0.89x and 4.52x, respectively; investors should verify subsequent compliance under the amended facility.
- Asbestos-related liability was estimated at $7.1 million, within an actuarial range of $6.7 million to $11.2 million; approximately $2.0 million of payments are expected over the next 12 months.
- Product-related liability was estimated at $4.1 million. Magnetek-related asbestos liability was $1.5 million, and environmental liabilities totaled $1.1 million.
- An Italian tax matter assumed with Magnetek includes disputed assessments and potential penalties totaling approximately $13.0 million based on the amounts described in the filing. Management expects to prevail and has not recorded a related liability.
- Risks include acquisition integration, foreign-exchange volatility, steel and benefit-cost inflation, industrial demand, intellectual-property claims, product liability, asbestos litigation, environmental obligations and goodwill impairment.
Investor Verification Checklist
- Verify Magnetek’s post-acquisition revenue, profitability, integration costs and expected synergies.
- Reconcile total debt, revolver availability, covenant ratios and the planned $40 million debt repayment.
- Assess whether operating cash flow and working-capital trends are sufficient to support debt reduction and capital expenditures.
- Evaluate the sustainability of the reported 32.1% gross margin amid lower volume, currency pressure and restructuring activity.
- Confirm the fiscal 2016 effective tax-rate outlook and the usability of Magnetek’s reported $62 million of deferred tax assets.
- Review the final purchase-price allocation, including goodwill, acquired intangibles and potential impairment exposure.
- Monitor asbestos, product-liability, environmental and Italian tax contingencies for changes that could affect future earnings or cash flow.
