Revenue was entirely grant revenue; CervoMed reported no product sales. The $21 million National Institute on Aging (NIA) grant funds the RewinD-LB trial. At March 31, cash and cash equivalents were $6.37 million; total current assets were $7.97 million and current liabilities $2.66 million. Stockholders’ equity was $5.34 million. The company had no convertible notes outstanding and reported no financing or investing cash flows in the quarter.
Q1 operating expenses rose 74% year over year. R&D increased 54%, primarily from CRO and trial-site costs; G&A increased 113%, primarily from public-company costs. Net loss widened from the restated prior-year result, which included $0.86 million of noncash income from a convertible-note fair-value adjustment. The 2023 restatement reduced reported G&A expense and net loss by $0.64 million after merger-related costs were reclassified as deferred offering costs.
Outlook, material events, and risks
- Management expects to complete enrollment in the 160-patient Phase 2b RewinD-LB trial in Q2 2024 and report initial placebo-controlled results in Q4 2024. The trial is intended to inform Phase 3 design; the general framework, including a 24-week treatment duration, has been discussed with the FDA.
- On April 1, 2024, after quarter-end, CervoMed completed a private placement of 2,532,285 units for approximately $50 million gross proceeds, before fees and expenses. The financing included common shares or pre-funded warrants and Series A warrants. Cash exercise of all Series A warrants could provide up to approximately $99.4 million additional gross proceeds. These proceeds are not included in the March 31 balance sheet. Management says March 31 cash, remaining NIA grant funding, and the placement’s upfront proceeds are expected to fund operations and capital needs for at least 12 months from issuance of the financial statements; the estimate depends on assumptions and is not assured.
- The company expects continued losses and higher R&D and G&A spending, and says additional financing will be needed to advance development and fund operations over the foreseeable future. Failure to obtain financing could require reductions or delays to development plans; equity financing may dilute shareholders.
- Disclosure controls were deemed ineffective because of material weaknesses in accounting for complex transactions and in identifying, evaluating, and recording certain expenses. Remediation is underway, with completion expected during 2024, but is not assured.
- A former executive’s lawsuit remains pending; trial was continued to October 23, 2024. The company says it cannot estimate a possible loss or range, and resolution could materially affect its financial position, results, or cash flows.
- The Vertex license carries potential regulatory and sales milestone payments of up to approximately $117 million, plus royalties if products are commercialized. The filing reports no material off-balance-sheet arrangements.
