  • Q3 sales increased 4% year over year and 5% sequentially; management cited higher unit sales and a 1% increase in average selling price. Nine-month sales rose 8%, reflecting higher units and ASP and a full nine months of BCD revenue versus seven months in 2013.
  • Gross-margin improvement was attributed mainly to better wafer-fabrication performance and product mix. Q3 operating expenses were nearly flat year over year; nine-month R&D increased about $4 million.
  • Nine-month operating cash flow was $107.3 million, versus $77.8 million. Investing used $26.6 million, including $37.1 million of PP&E purchases; financing used $34.0 million, mainly for debt repayments. Cash increased $40.2 million to $236.8 million.
  • At September 30, current assets were $695.7 million and current liabilities $168.5 million. Long-term debt was $147.5 million and lines of credit outstanding were $2.0 million. The company also reported $145 million drawn on its $300 million U.S. revolver, plus foreign credit facilities and approximately $3 million of foreign long-term debt.

Material changes and financial position

  • Nine-month gross margin expanded to 31% from 29%; operating income increased 82%, and common-stockholder net income rose 131%. Q3 common-stockholder net income increased 43%.
  • Long-term debt fell from $182.8 million at year-end 2013 to $147.5 million; cash rose from $196.6 million to $236.8 million. Working capital was $527 million, up from $493 million at year-end.
  • The nine-month effective tax rate was 23%, versus 36% in 2013, including a $4 million benefit from discrete items, principally a tax-audit conclusion and prior-year tax estimate differences. Management estimated a 2014 annual rate of approximately 29%, excluding discrete items.
  • Comprehensive income was affected by foreign-currency translation losses: $8.9 million for the nine months, compared with a $3.6 million gain in 2013.

Outlook, risks and contingencies

  • Q4 2014 guidance: Revenue of $217–$231 million, down 7% to 1% sequentially due to normal seasonality; gross margin 31.6%, plus or minus 2%; operating expenses about 22.2% of revenue, plus or minus 1%; tax rate 25%, plus or minus 3%; diluted share count approximately 49.0 million.
  • Management said Q3 delivered record revenue and gross profit, supported by Asian consumer, communications and computing demand, improved product mix, and higher assembly/test utilization. Cash and available facilities were expected to meet working-capital and capital-expenditure needs for at least 12 months. Capital expenditures were $42 million for nine months, within the 5%–9% of sales target.
  • China represented 62% of Q3 customer-shipped revenue; Asia accounted for approximately 79% of nine-month sales by subsidiary location. Foreign subsidiaries held about $243 million of cash, cash equivalents and investments; approximately $190 million could be subject to tax if repatriated. The company intends to permanently reinvest overseas applicable foreign earnings.
  • The U.K. defined-benefit pension plan was underfunded by $38.2 million at September 30. The company was discussing future contributions with plan trustees; market or actuarial changes could increase required funding. A scheduled contribution arrangement called for about £2 million annually through 2019.
  • Legal matters include a $1.245 million attorneys’ fee award in a derivative action, which the company believes is insured and has appealed. A securities class action was dismissed with prejudice, but plaintiffs appealed after quarter-end. Another derivative action remained stayed. Management did not expect pending proceedings to materially affect results, while noting litigation uncertainty.
  • Other risks include semiconductor cyclicality, pricing pressure, order cancellations, manufacturing and supplier disruption, China and foreign-currency exposure, customer qualification requirements, tax incentives and transfer-pricing challenges, and acquisition integration. The filing reports no material changes in market-risk disclosures and no material change in internal controls.

Investor verification priorities

  • Assess whether Q4 guidance and seasonality assumptions were met, especially revenue and gross-margin expectations.
  • Separate underlying earnings improvement from the $4 million discrete tax benefit; review the expected full-year tax rate and tax uncertainties, including $21 million of gross unrecognized tax benefits.
  • Track gross-margin sustainability, product mix, utilization, and the contribution from BCD and regional/end-market demand.
  • Reconcile debt and facility usage, debt repayment pace, capital spending, and cash availability, including overseas cash and potential repatriation taxes.
  • Monitor U.K. pension funding negotiations and legal-case appeals, and verify any resulting changes in liabilities, cash requirements or insurance coverage.
