Net revenue grew 1% reported and 3% FX-neutral. Cash, cash equivalents and restricted cash were $2.431 billion at quarter-end. Cash and short- and long-term non-equity investments totaled approximately $5.0 billion, versus $5.9 billion at year-end 2022. Total debt was $7.721 billion, down from $8.871 billion; the $1.2 billion of 2023 notes due was redeemed in January. No commercial paper or credit-facility borrowings were outstanding; $2 billion of credit-facility capacity was available.

Material changes and drivers

  • Revenue increased despite lower GMV, principally due to higher take rate from expanded payment services and promoted listings and investment in focus categories.
  • Management cited lower traffic in most markets amid geopolitical events, inflation, foreign-exchange volatility and weaker consumer confidence. U.S. revenue rose 3%; international revenue declined 1%.
  • Operating expenses rose 14% to $1.252 billion. General and administrative expense increased 31%, including $42 million of restructuring charges; product development rose 17% and sales and marketing rose 7%.
  • Operating margin fell to 22.2% from 27.9%. Net income comparison was strongly affected by investment valuation results: a $198 million net gain on equity investments and warrant in Q1 2023 versus a $2.291 billion net loss in Q1 2022, principally reflecting the Adevinta investment.
  • eBay repurchased approximately $250 million of stock and paid $134 million in dividends. The board declared a further $0.25-per-share dividend for payment in June 2023.

Outlook, risks and unusual items

  • Management expects macroeconomic and geopolitical pressures, reduced traffic and foreign-exchange volatility to continue during 2023; it expects the divergence between GMV and revenue to continue through the year. The filing provides no numerical full-year revenue or earnings guidance.
  • Management expects higher interest income from elevated yields to continue in 2023, while also expecting continued upward pressure on interest expense.
  • Management believes cash, investments, operating cash generation, available borrowing capacity and capital-market access are sufficient for material cash needs over the next 12 months and foreseeable future, but notes financing access and costs could be affected by market conditions.
  • eBay accrued approximately $64 million for government matters and a related civil action, including inquiries concerning allegedly unlawful products listed on Marketplace and a U.S. Attorney investigation related to former employees’ 2019 conduct. The company says additional losses could be material; it cannot currently estimate the loss range for the U.S. Attorney matter. EPA/DOJ discussions include a potential settlement.
  • Legal and regulatory matters are inherently uncertain. Management says other probable legal accruals and reasonably possible direct losses beyond recorded accruals were not material, but adverse outcomes or non-monetary remedies could affect operations.
  • Investment valuations are a notable source of earnings volatility: Adevinta was valued at $2.866 billion, and a $1 change in its share price would change the investment’s fair value by approximately $404 million, holding other factors constant. The company also identifies foreign-exchange and interest-rate risks.
  • The filing reports no material changes to risk factors since the 2022 Form 10-K. Disclosure controls were effective, and no material internal-control changes were reported for the quarter.

Important facts for investors to verify

  • Whether higher take rate can offset continued GMV and traffic weakness, and how both trends affect revenue and margins.
  • How much reported earnings reflect volatile investment and warrant fair-value changes versus Marketplace operations.
  • The outcome, timing and potential additional financial or operational impact of the DOJ/EPA and U.S. Attorney matters beyond the $64 million accrued.
  • Cash and investment levels after debt redemption, repurchases and dividends, and the company’s capacity to sustain those capital returns.
  • Interest expense, foreign-exchange effects and the sensitivity of Adevinta and other investments to market movements.
