The operating loss was approximately 26% of revenue; no gross profit or gross margin is separately reported. Revenue consisted of $8.0 million in Ono development funding and $2.7 million of upfront-payment recognition, versus $6.7 million and $2.2 million, respectively, a year earlier. The company reported no product-sales, milestone or royalty revenue.

At March 31, cash and cash equivalents were $11.6 million and short-term investments were $20.7 million, totaling $32.3 million. Total current assets were $42.5 million and current liabilities $22.2 million. The company had no outstanding term debt; its prior loan was repaid in May 2023. Operating lease liabilities totaled $0.7 million. Accumulated deficit was $188.5 million.

Cash and cash equivalents fell $11.6 million during the quarter. Investing activities used $2.8 million, primarily reflecting net purchases of short-term investments; there were no financing cash flows. Management says available cash, cash equivalents and investments are expected to fund planned operations into the second half of 2025, assuming no further stock repurchases. The filing also states management believes funds are sufficient for at least 12 months from filing.

Changes and notable items

  • Revenue increased primarily because Ono-funded development activity and recognition of the upfront payment were higher.
  • R&D expense rose modestly. Higher CMC work, drug-substance purchases and employee costs were partly offset by lower clinical-study costs and a larger Australian R&D tax incentive benefit.
  • Interest expense was zero versus $0.2 million in Q1 2023 following repayment of the term loan. Interest income declined to $0.4 million from $0.6 million as average cash and investment balances were lower. Net other expense increased to $0.4 million, primarily due to unrealized foreign-currency losses.
  • Cash used in operations increased despite a smaller net loss, reflecting changes in deferred revenue and other operating assets and liabilities.

Business outlook, risks and contingencies

  • Pipeline and milestones: EQ101 is in a Phase 2 study for alopecia areata; management expected topline data in Q2 2024. The Phase 3 EQUATOR study of itolizumab in acute graft-versus-host disease is ongoing, with an interim review expected in Q3 2024. Management said Ono’s option decision was expected in the second half of 2024. In April 2024, Equillium delivered positive topline data from the lupus nephritis portion of EQUALISE to Ono.
  • Ono agreement: Ono has an option to acquire Equillium’s itolizumab rights in the U.S., Canada, Australia and New Zealand. If exercised, the company expects a one-time payment of approximately $32.2 million at the May 8, 2024 exchange rate; it may also qualify for up to $101.4 million in milestones. Neither the option payment nor milestone payments had been received as of March 31, 2024. The option may be terminated or expire without exercise.
  • Funding and execution: Equillium expects losses and negative operating cash flows to continue and says substantial additional funding will be needed to complete development and commercialization. The $21.95 million ATM facility had not been used as of filing. Future equity financing could dilute shareholders; debt or partnerships may impose restrictions or require relinquishing rights. Runway depends on operating assumptions and no further repurchases.
  • Repurchases and potential dilution: The board authorized repurchases of up to $7.5 million through December 31, 2024. $0.3 million had been used through March 31, with no repurchases during Q1 or through filing. At March 31, options and warrants represented about 10.4 million potential common shares; the company reported 35.3 million shares outstanding.
  • Other risks: Product candidates remain unapproved and clinical outcomes, regulatory timing, manufacturing and enrollment are uncertain. The company relies on third parties, including Biocon for itolizumab supply, and its Australian R&D tax incentive claims may be reviewed by the Australian Taxation Office. Management cited volatile credit markets and macroeconomic uncertainty as potential constraints on financing. No legal proceedings were reported. Disclosure controls were assessed as effective.

Important facts for investors to verify

  • Whether EQ101 Q2 2024 topline data and the Q3 EQUATOR interim review occurred as expected, and what the complete data show.
  • Ono’s option decision, timing and conditions, and whether funding and reimbursement of itolizumab development costs continue.
  • Cash use, updated runway assumptions and whether any further repurchases or ATM share sales occur.
  • Clinical, CMC and manufacturing progress, including Biocon-related work and Australian tax-incentive eligibility.
  • Potential dilution from outstanding options and warrants and any future equity financing.
