Eton Pharmaceuticals, Inc. quarterly report, Q3 FY2020

Eton Pharmaceuticals, Inc. — Q3 2020 Form 10-Q

Reporting period: Three and nine months ended September 30, 2020. Financial statements are unaudited; amounts below are in thousands of dollars, except per-share data.

Business context

Eton develops and commercializes specialty pharmaceuticals, particularly hospital injectables and pediatric rare-disease products. Biorphen, approved in October 2019, was its only product generating sales during the period. Alkindi Sprinkle received FDA approval in September 2020; EM-100, sold to Bausch, was expected to launch in 2021, with Eton entitled to royalties.

Financial results and liquidity

  • Q3 revenue and gross result: Net product sales were negative $161, cost of sales was negative $144, and gross loss was $17. The negative amounts reflect a Biorphen wholesale price reduction and a related partner profit-sharing true-up. Q3 2019 had no revenue.
  • Nine-month revenue and gross result: Revenue was negative $42 and gross loss was $28, versus $500 of licensing revenue and $500 gross profit in 2019, when Eton recorded the EM-100 asset sale.
  • Operating expenses and losses: Q3 R&D was $2,826 (down from $3,418); G&A was $3,429 (up from $1,624). Net loss was $6,504, or $0.31 per share, versus $4,965, or $0.28 per share. For nine months, R&D was $10,703, G&A $8,960, and net loss $20,283, or $1.01 per share, compared with a $15,624 loss, or $0.88 per share, in 2019.
  • Cash flow: Operating cash use was $15,164 for the first nine months, versus $14,178 in 2019. Financing provided $10,436, including $7,756 from stock sales and $1,965 from additional SWK borrowing. Cash declined by $4,734 to $7,332.
  • Balance sheet and debt: Current assets were $9,785 and current liabilities $3,219 at quarter-end; total assets were $11,395 and total liabilities $10,007. Long-term debt, net of discount, was $6,496; PPP and EIDL loans totaled $511. The SWK facility requires a minimum cash balance of $3,000.
  • Subsequent financing: On October 16, Eton completed a 3.22 million-share offering at $7 per share, receiving approximately $21,040 net. Management said cash at September 30 plus the offering proceeds was expected to fund operations and capital needs for at least 12 months from the filing date.

Changes, outlook, and risks

  • Biorphen sales and market adoption were impaired by COVID-19-related cancellation of in-person hospital and surgical-center promotion. The September price reduction generated a $192 reduction to revenue based on wholesaler shelf stock; management expected promotional efforts to remain adversely affected during 2020.
  • Nine-month R&D included $4,764 of Alkindi Sprinkle licensing expense. G&A increased year over year with Alkindi launch preparation, Biorphen commercialization, legal costs, and compensation. Management attributed the higher net loss to increased G&A, lower comparative revenue, and higher interest expense.
  • Management’s runway estimate depends on expected Biorphen and Alkindi sales and spending management. Eton cautioned that it may need additional equity or debt; financing may not be available on acceptable terms, and failure to generate revenue or obtain financing could require scaling back or discontinuing operations.
  • COVID-19 could also delay clinical-trial enrollment and activities, research, manufacturing, regulatory reviews, and in-person promotion. Eton initiated a patent challenge concerning Exela’s Elcys product; the matter remained pending. The filing reported no other known pending or threatened litigation expected to have a material operational impact.
  • Alkindi Sprinkle’s $2,500 post-launch payment to Diurnal is subject to obtaining FDA orphan-drug exclusivity. The filing also discloses a CEO-affiliated party’s interest in the EM-100 arrangement and a $250 milestone owed to Eyemax following FDA approval.
