Material changes versus 2022
- Revenue grew across all four segments: Insurance 18.1% to $529.9 million; Healthcare 8.9% to $106.0 million; Emerging Business 21.5% to $265.7 million; and Analytics 12.6% to $729.1 million.
- Gross margin improved 80 basis points, primarily on higher revenue, operational efficiencies and foreign-exchange effects. Healthcare and Emerging Business margins improved; Insurance margin declined 40 basis points, partly due to ramp-up costs.
- Operating income rose 24.2%. SG&A increased 19.3% to $318.5 million, including higher staffing costs and $10.4 million of additional investment in digital and generative AI capabilities.
- Net income increased 29.1%. Higher operating income and other income were partly offset by increased interest expense, lower foreign-exchange gains and higher income-tax expense. The effective tax rate decreased to 22.5% from 25.0%.
- Operating cash flow increased by $45.1 million. Investing cash outflow narrowed to $12.0 million, while financing cash outflow rose to $181.4 million, reflecting debt repayments and higher share repurchases.
Outlook, risks, contingencies and unusual items
- Management expects 2024 capital expenditures of $50–$55 million, focused on growth, facilities and technology. It said existing cash, investments and liquidity sources should meet cash requirements over the next 12 months.
- On February 26, 2024, the board authorized a $500 million share-repurchase program, effective March 1 for two years, replacing the prior program. EXL repurchased 4.13 million shares for $125.4 million in 2023. It does not anticipate cash dividends in the foreseeable future.
- Growth priorities include expanding data, AI and generative AI offerings, client relationships and addressable markets. Management also identifies wage inflation, talent retention, pricing pressure, contract termination, client concentration, competition and execution of new technology offerings as risks.
- Other significant risks include cybersecurity and privacy incidents, dependence on third-party technology providers, foreign-exchange and interest-rate exposure, global operations and regulatory requirements, and potential changes to tax incentives. Management reported no material cybersecurity incident to date.
- Indian tax disputes remain outstanding. Indian authorities’ aggregate transfer-pricing and related income-tax demands, net of advance payments, were $36.7 million at year-end; separate VAT demands were $5.5 million, and GST refund claims of $4.7 million had been rejected and appealed. EXL believes its positions are more likely than not to be sustained and recorded no provision for these matters. Management said pending litigation losses could not be reasonably estimated and did not expect current litigation to have a material adverse effect.
- EXL recorded $10.8 million of other income in 2023, including a $6.4 million year-over-year reduction in contingent-consideration expense from fair-value adjustments. The company completed a 5-for-1 stock split in August 2023; comparative per-share data were adjusted retrospectively.
- The financial-statement auditor issued an unqualified opinion on the financial statements and internal controls. Revenue recognition was identified as a critical audit matter.
