Liquidity, debt and cash flows
At April 3, 2020, cash was $76.2 million and current assets were $394.2 million, compared with current liabilities of $138.7 million. Debt under the credit facility was $479.2 million: $400.0 million of term-loan principal and $85.0 million drawn on the revolving line. The $250.0 million revolver had $150.0 million of available capacity, including $15.0 million in standby letters of credit. The facility matures March 11, 2025, bears variable rates, and had a weighted-average borrowing rate of 2.33%; FOX reported covenant compliance.
Operating cash use was $33.5 million, reflecting working-capital movements, notably $61.7 million of increased prepaids and other current assets, principally SCA-related chassis deposits and acquisition compensation held in escrow. Investing cash use was $342.1 million, including $329.2 million for SCA and $12.8 million of capital expenditures. Financing provided $408.3 million, including net debt proceeds. Cash increased by $32.4 million to $76.2 million. Operating cash flow less capital expenditures was approximately negative $46.3 million.
Material changes, outlook and risks
- SCA was acquired for $329.5 million, net of cash acquired and excluding vehicle inventory. Preliminary purchase accounting included $192.2 million of goodwill and $140.5 million of customer relationships, trademarks and brand assets; the allocation remained subject to finalization.
- COVID-19 had disrupted supply chains and manufacturing, with temporary suspensions at certain North American facilities under local orders. Management attributed the 0.9-point gross-margin decline in part to closure-related overhead inefficiencies and labor costs. The company reported executive pay cuts, temporary furloughs, reduced expenses and curtailed nonessential capital spending.
- Management said the pandemic’s duration and financial effects were difficult to predict. The filing provides no quantitative earnings or revenue guidance.
- FOX was constructing a 336,000-square-foot Georgia facility, with expected project costs of approximately $36.5 million under the construction agreement and completion expected around August 31, 2020. A broader Hall County expansion plan contemplated approximately $50 million of capital spending over five years, subject to market and economic conditions.
- SRAM patent and related litigation remained pending; FOX recorded no litigation reserve because loss amounts could not be reasonably estimated. An unfavorable outcome could materially affect the company.
- Other noted exposures include variable-rate debt, customer and discretionary-spending risks, supply-chain disruption, acquisition integration, and potential obligations related to minority interests in Tuscany.
Key facts for investors to verify
- How COVID-19 affected subsequent-period demand, manufacturing capacity, margins and cash conversion after April 3, 2020.
- Whether SCA’s final purchase-price allocation, integration costs and retention incentives differ materially from preliminary estimates.
- Debt balances, available revolver capacity, covenant headroom and interest-rate exposure; the filing estimates a 100-basis-point rate change would alter quarterly interest expense by about $1.2 million.
- Progress, remaining costs and timing for the Georgia facility and broader expansion plans.
- Developments in SRAM litigation and potential exposure, for which the filing gives no estimable loss range.
