Third-quarter net interest income rose as average earning assets and loans grew, including the PGFSB contribution; management reported average loans of $642.6 million versus $521.6 million a year earlier. Loan yield declined year over year, and net interest margin contracted. Nine-month net income increased despite higher operating expenses.
At September 30, total assets were $883.0 million, up from $716.2 million at December 31, 2013. Net loans were $658.7 million versus $539.0 million; total deposits were $698.1 million versus $540.4 million. Cash and cash equivalents were $45.8 million. Stockholders’ equity was $116.4 million.
Loans were $665.8 million before the allowance; commercial real estate, construction/land and commercial loans were significant portfolio components. The allowance for loan losses was $7.1 million. Non-covered nonperforming assets were $15.7 million, comprising $4.1 million of nonaccrual loans and $11.5 million of other real estate owned (OREO), down from $17.4 million at year-end. No loans were 90 days past due and accruing interest. Management stated that the allowance was adequate, while noting it is based on estimates and judgment.
Borrowings at quarter-end included $37.8 million of repurchase agreements and other short-term borrowings and $25.0 million of FHLB advances. Nine-month cash flow was $8.2 million provided by operating activities, $47.8 million used in investing activities and $64.6 million provided by financing activities; cash increased $24.9 million to $45.8 million. The investing outflow included net loan growth and the $5.0 million STM investment, while financing inflows included deposit growth and acquisition-related activity.

Material changes versus comparable periods
- Q3 net income increased to $2.1 million from $1.8 million; nine-month income rose to $5.5 million from $4.9 million.
- Q3 net interest margin declined to 4.59% from 4.85%; nine-month margin declined to 4.67% from 4.79%.
- Quarter-end assets, loans and deposits expanded substantially, largely reflecting the PGFSB acquisition and organic loan growth. Excluding PGFSB, management reported loan growth of $58.9 million, or 10.8%, from year-end 2013.
- Noninterest expense increased, including $0.5 million of nine-month merger expenses and higher salary costs and FDIC indemnification-asset amortization. Nine-month loan-loss provision and charge-offs were lower than in 2013.
- Non-covered nonperforming assets declined, but OREO increased to $11.5 million from $9.6 million. Non-covered impaired loans rose to $26.3 million from $23.2 million; the filing attributes part of the allowance ratio decline to acquired PGFSB loans recorded at fair value.
Outlook, commentary, risks and unusual items
The filing provides no formal earnings or revenue guidance. Management said it expected to expand the securities portfolio modestly in the fourth quarter for liquidity and collateral purposes, and considered the balance sheet positioned to withstand rising rates. It also described competitive pressure on loan pricing and noted the PGFSB merger’s interest-rate impact was less negative than anticipated.
Key risks include real-estate and commercial loan concentrations, construction and land-development exposure, credit-loss estimation, deposit funding and liquidity, interest-rate and securities valuation risk, and the integration and goodwill risks of acquisitions. The held-to-maturity portfolio included trust-preferred securities with $6.8 million carrying value and $6.9 million fair value; significant securities were in unrealized loss positions. Management attributed temporary impairments primarily to interest rates and market illiquidity and reported $41,000 of nine-month OTTI charges. The filing cautions that trust-preferred valuations are sensitive to assumptions and market volatility.
Unfunded lines of credit and undisbursed construction-loan funds totaled $109.9 million, with a further $6.3 million in approved loan commitments. Letters of credit were $8.7 million. Management expected normal funding sources to meet these requirements. No TDR loans were modified during the quarter or nine-month period. The filing reported no pending or, to management’s knowledge, threatened legal proceedings, no material risk-factor changes, and effective disclosure controls.
Important facts for investors to verify
- Confirm the filing’s issuer identity and its relationship, if any, to Primis Financial Corp.; the 2014 report is filed under Southern National Bancorp of Virginia, Inc.
- Review PGFSB purchase accounting, integration progress, acquisition-related costs and whether anticipated benefits are realized.
- Track loan growth and concentrations, nonperforming loans, OREO, charge-offs and allowance adequacy, including the effect of acquired loans booked at fair value.
- Assess trust-preferred and other securities’ credit exposure, unrealized losses, impairment assumptions and sensitivity to interest rates and market liquidity.
- Monitor deposit growth and mix, wholesale funding, unfunded commitments, liquidity needs and the effect of margin compression or changing rates.
- Consider that interim results are not necessarily indicative of full-year results and that interest-rate and fair-value sensitivities rely on modeling assumptions.
