Gross and operating margins are not meaningful because the company had no revenue. FY2023 other operating income included S$507,736 of research income and S$285,719 of interest income, mainly reflecting investment of IPO proceeds. The FY2023 net loss included S$758,563 of offering expenses and S$550,746 of public-company-related costs; management said excluding these items would reduce the loss to about S$2.82 million.
Liquidity improved following the April 2023 IPO, which generated S$10.308 million (US$7.813 million) net proceeds. Year-end current assets were S$10.097 million and current liabilities S$716,943, for working capital of S$9.380 million. The balance-sheet cash figure includes S$2.771 million of fixed deposits with maturities over three months; the cash-flow statement’s year-end cash figure, which excludes those deposits, was S$6.224 million.
Borrowings totaled S$441,698 at year-end, primarily a secured Malaysian bank loan; convertible loans were fully converted during 2023. The balance sheet also shows S$146,613 of warrant liabilities. Total equity was S$11.244 million. No dividend was declared.
Material changes versus the prior comparable period
- Net loss widened by about 32% from S$3.131 million to S$4.133 million; operating cash use increased from S$1.398 million to S$3.433 million.
- Other expenses rose by S$1.718 million, mainly due to IPO costs, public-company expenses, professional and legal fees, travel, and reversal of an S$84,091 grant.
- Research expenses increased modestly, by S$66,928, with higher consumables and employee costs partly offset by lower professional fees.
- Balance-sheet cash and cash equivalents increased to S$8.995 million from S$1.580 million following the IPO. Convertible loans of S$3.401 million outstanding at end-2022 were converted into shares; total borrowings fell from S$803,606 to S$441,698.
Outlook, commentary, risks and unusual items
- Development outlook: The ANGELICA Phase I trial of CTM-N2D began in 2023; the company anticipated recruiting its first patient in Q2 2024. iPSC-gdNKT remains in process development, with pre-clinical studies targeted after 2024. CTM-GDT is in pre-clinical collaboration with MD Anderson; the filing describes plans for regulatory submissions. CTM-MSC research includes a February 2024 collaboration with Sengkang General Hospital.
- Funding and going concern: The company expects continued losses and negative operating cash flow and says future financing may be needed. Risk disclosures state that substantial doubt exists about its ability to continue as a going concern, while another section says available funds are anticipated to cover cash needs for at least two years. Investors should note this difference in presentation and review the full going-concern assessment.
- Execution risks: No candidate has demonstrated human safety or efficacy, and none is approved for commercial sale. Clinical, regulatory, manufacturing scale-up, cell-supply, cryopreservation and patient-enrollment risks could delay or prevent development. The company also depends on licensed intellectual property, including key technology licenses from ATPL, and does not own patents.
- Contingencies and commitments: Year-end commitments included S$387,720 for a Malaysian property purchase and a S$1.0 million loan commitment to a third party for China-related activities, in addition to royalty and bank-loan obligations. The property transfer was completed in February 2024. In March 2024, the company received an acceptance letter for a proposed cord-blood-banking asset acquisition at about S$661,000; the master agreement was still under review as of the filing.
- Controls and audit: Management concluded disclosure controls and procedures were ineffective at December 31, 2023, citing insufficient financial-reporting personnel with appropriate U.S. GAAP and SEC-reporting expertise. The auditor gave an unqualified opinion on the IFRS financial statements, but did not audit or opine on internal control over financial reporting.
- Other risks: The company disclosed limited insurance coverage, including that its D&O policy expired April 19, 2024 and was not yet renewed as of the report. It also faces currency, regulatory, intellectual-property, competitive and Malaysian operating risks.
Most important facts for investors to verify
- Reconcile the stated going-concern doubt with management’s cash-runway expectation, and assess burn rate against planned clinical and R&D spending.
- Track ANGELICA trial enrollment, safety findings and timing, plus the regulatory and pre-clinical milestones for the other candidates.
- Confirm unrestricted liquidity and fixed-deposit maturities: balance-sheet cash equivalents were S$8.995 million, versus S$6.224 million in the cash-flow statement.
- Monitor remediation of ineffective disclosure controls and any subsequent changes to finance staffing or reporting controls.
- Review the ATPL license milestones, royalty obligations and termination provisions, and the status and terms of the proposed cord-banking acquisition and China-related loan commitment.
