Revenue was immaterial relative to operating expenses, so conventional operating margins are not meaningful. Higher R&D costs reflected manufacturing-batch timing and increased headcount; higher G&A included staffing and commercial preparation. Interest income rose to $5.0 million for Q3 and $13.6 million year to date, chiefly due to a larger investment portfolio and higher yields.

At September 30, 2023, cash, cash equivalents, restricted cash and marketable securities totaled approximately $381.9 million, versus $173.1 million at December 31, 2022. Current assets were $335.1 million and current liabilities $89.4 million. Total debt principal was $50.0 million; debt carrying value was $51.9 million, including accrued end-of-term charges. An additional $55.0 million may be available under the loan facility, subject to milestones, other conditions and, for the final tranche, lender committee approval. The company reported compliance with loan covenants.

Material changes and financing

  • Net loss increased year over year, despite lower loss per share, as operating expenses rose substantially. Nine-month operating cash use increased by $34.6 million.
  • Geron raised $213.3 million net in a January 2023 public offering and received approximately $105.9 million in cash and receivables from warrant exercises during the first nine months. These financings contributed to increased liquidity and significant share-count growth.
  • On November 1, 2023, after quarter-end, Geron entered a new at-the-market sales agreement permitting up to $100 million of common-stock sales, with commissions of up to 3%.
  • A $7.0 million company portion of a securities-litigation settlement was accrued at quarter-end and paid in early October 2023. The related derivative actions were dismissed following settlement.

Outlook, management commentary and key risks

  • Geron reported positive top-line Phase 3 IMerge results in January 2023 for lower-risk MDS, with the primary and key secondary transfusion-independence endpoints met. The FDA accepted its NDA for standard review and set a June 16, 2024 PDUFA action date; an advisory committee meeting was planned. The European MAA was validated in September 2023, with management estimating a review of about 14 months.
  • Management said a U.S. launch could occur by the end of the first half of 2024 if approved in a timely manner; a European launch could occur in 2025 if approved by the end of 2024. These are conditional expectations, not guaranteed outcomes.
  • Other programs include Phase 3 IMpactMF in relapsed/refractory myelofibrosis, with interim overall-survival analysis expected in the first half of 2025 and final analysis in the first half of 2026 based on current enrollment and event assumptions; enrolling Phase 1 IMproveMF; and investigator-led Phase 2 IMpress. In October, IMproveMF’s safety team reported no dose-limiting toxicities in the first cohort and authorized escalation to the second cohort.
  • Management estimated existing resources, together with projected U.S. product revenue, potential warrant proceeds and possible loan draws, could fund operations through the end of Q3 2025. This runway depends on approval and commercialization, financing availability and other assumptions. The company expects continued losses and increased development and commercialization-preparation spending, and says further funding will be needed for later-stage programs and potential additional indications.
  • Principal risks include dependence on imetelstat as its sole candidate; regulatory approval and commercialization uncertainty; clinical safety risks, including cytopenias, bleeding and liver toxicity; patient enrollment and retention; reliance on third-party manufacturers and CROs; and potential financing needs, dilution and debt obligations. Geron also disclosed deficiencies identified in a recent FDA inspection of a third-party manufacturer, which could affect supply if not remediated. Macroeconomic, geopolitical and supply-chain disruptions may add delays or costs.

Important facts for investors to verify

  • FDA review progress, advisory committee timing and the June 16, 2024 action date; also the status and timeline of the European MAA.
  • Whether the IMerge benefit-risk profile and longer-term follow-up support approval, and whether safety findings or additional data change the assessment.
  • IMpactMF enrollment, event rates and analysis timing, plus progress and safety updates from IMproveMF and IMpress.
  • Actual cash burn and whether management’s Q3 2025 runway assumptions hold, particularly if approval, sales, warrant exercises or conditional loan draws are delayed or unavailable.
  • Manufacturing remediation and reliable clinical and potential commercial supply; potential share dilution from warrants, equity plans and the new $100 million ATM facility.
