Gogoro Inc. — FY2022 Form 20-F
Reporting period: Fiscal year ended December 31, 2022. Although the request identifies 2022 Q4, this annual filing reports full-year results and does not provide a clear standalone Q4 financial summary. Financial statements are prepared under IFRS in U.S. dollars.
Business context
Gogoro sells electric two-wheelers, vehicle components and related hardware, and earns recurring revenue from its battery-swapping network. Taiwan remained its principal market, accounting for 94.2% of FY2022 revenue. At year-end, the network had more than 2,385 swapping locations and 526,000 subscribers. Gogoro completed its business combination with Poema Global on April 4, 2022, and began Nasdaq trading the following day.

Cash and liquidity: Cash and cash equivalents were $236.1 million at December 31, 2022, versus $217.4 million a year earlier. Current assets were $397.9 million and current liabilities $248.2 million. The company reported that it met its loan financial-ratio covenants at year-end and believed cash, available facilities and operating cash flows would cover anticipated needs for at least 12 months.
Debt: Borrowings totaled $381.2 million, including $88.0 million current and $293.2 million non-current; lease liabilities were $21.5 million. The filing separately describes $468.5 million of aggregate outstanding indebtedness and related commitments, including $161.9 million scheduled within 12 months; this figure includes purchase commitments and lease liabilities and should not be read as borrowings alone.
Material changes and unusual items
- Revenue growth came from battery-swapping subscriptions, partly offset by lower hardware revenue and fewer scooter units sold through retail and distribution channels.
- Gross margin declined as per-scooter production costs rose, including idle-capacity charges amid slower scooter sales. Higher raw-material and logistics costs also weighed on costs; improved network cost efficiency and product mix partially offset these pressures.
- Operating expenses included a $178.8 million non-cash listing expense associated with the Poema merger. This drove the reported operating loss. Net loss was partly offset by a $205.9 million gain on financial liabilities measured at fair value, principally earnout, earn-in and warrant liabilities; these valuation movements are not operating cash earnings.
- General and administrative expense rose 109.0% to $71.0 million, reflecting acquisition-related professional fees, share-based compensation and public-company costs. Research and development expense increased 50.3% to $46.0 million. Share-based compensation totaled $37.9 million, versus $5.0 million in 2021.
- Operating cash flow turned negative, with cash absorbed in part by inventory accumulation and payments to suppliers. Inventories rose to $114.7 million from $73.1 million.
- The U.S. dollar’s appreciation against the New Taiwan dollar reduced reported FY2022 revenue by approximately $26.0 million compared with constant exchange rates, according to the company.
Outlook, commentary and risks
Management expects continued net losses in the short term while it pursues growth and international expansion; the filing does not provide a clear quantified FY2023 revenue or profit forecast. Expansion initiatives included partnerships or pilots in India, Singapore, Indonesia and Israel. Gogoro noted that it did not achieve the financial projections set at the beginning of 2022, and disclosed unsatisfactory results to date from collaborations in mainland China.
- Key execution risks include scaling production and sales, managing fixed manufacturing costs and inventory, maintaining product quality and service availability, and reliance on a limited group of suppliers. Battery cells, semiconductors, raw-material costs and logistics are important exposures.
- Results are sensitive to ePTW and battery-swapping adoption, competition, government subsidies and policy changes. Taiwan’s scooter market weakened in 2022, and Taiwan remains highly concentrated in revenue and operating assets.
- Other material exposures include Taiwan–mainland China geopolitical tensions, currency movements, debt covenants and refinancing needs, international regulatory requirements, and the ability to establish effective local partnerships.
- The company reported a January 2022 ransomware incident that caused limited operational disruption and said it strengthened security measures.
- Stone Energy’s patent claims were dismissed at trial and affirmed on appeal; the matter was further appealed, but both asserted patents were confirmed invalid by Taiwan’s Supreme Administrative Court in January and March 2023. Four employment-related lawsuits sought approximately $2.4 million in total; no provision was recorded because timing and amounts were uncertain. Management said ordinary-course legal matters were not expected to have a material adverse effect.
- Management concluded internal control over financial reporting was effective at December 31, 2022, and said a previously identified material weakness in SEC reporting expertise had been remediated.
Investor verification points
- Review the audited IFRS statements and merger accounting, particularly the $178.8 million listing expense and $205.9 million fair-value gain, to distinguish recurring operating performance from transaction and valuation effects.
- Track subscription growth, retention, revenue per subscriber and network economics against hardware sales, scooter registrations and gross-margin trends.
- Assess operating cash burn, inventory levels, capital spending and debt maturities; verify the basis of the filing’s $468.5 million indebtedness-and-commitments disclosure.
- Monitor covenant headroom, available credit facilities and whether management’s stated 12-month liquidity expectation remains supported by cash generation and financing access.
- Verify execution and funding of overseas partnerships and expansion plans, including the January 2023 completion of the Zypp investment for approximately $16.3 million.
