Hardware operating income was $1.172 million, while the software segment reported a $2.781 million operating loss.
Gross margin was nearly flat year over year. SG&A rose 54.1% to $5.134 million, mainly from higher sales and marketing compensation, acquisition-related amortization, and travel and marketing. R&D increased 28.4% to $1.369 million. Management attributed the larger net loss chiefly to increased expenses following the Zonehaven acquisition and additions to engineering, sales, and marketing staff.
Liquidity, debt, and cash flow
- At December 31, cash and cash equivalents were $10.136 million; short- and long-term marketable securities totaled $7.319 million. Restricted cash was $1.356 million.
- Working capital was $15.433 million, down from $18.019 million at September 30, 2021. Cash and cash equivalents declined $3.031 million during the quarter.
- Operating cash use of $2.702 million included a $2.752 million inventory build and a $1.743 million reduction in accrued and other liabilities, partly offset by lower receivables and prepaid expenses.
- Notes payable were $0.290 million, due in fiscal 2022. The company reported no borrowings on its $10 million revolving credit facility, which matures March 31, 2023. Operating lease liabilities totaled $6.394 million.
- Investing activities provided $0.072 million, versus $4.264 million used in the prior-year quarter, which included the Amika Mobile asset purchase. Financing activities used $0.395 million, including $0.441 million for share repurchases.
Changes, outlook, and risks
Management said the revenue increase reflected a larger opening backlog. LRAD revenue was $7.512 million, up $0.444 million, and IMNS revenue was $2.614 million, up $2.295 million. Software revenue decreased primarily because fewer professional services were performed, partly offset by higher recurring software revenue. Management cautioned that government budget cycles, government financial issues, and military conflicts can delay awards and make quarterly revenue uneven.
The company cited new software and evacuation-management contracts, including GEM contracts in five U.S. states and Zonehaven contracts with 13 California counties, as well as LRAD defense and wildlife-preservation orders. Its stated fiscal 2022 priorities include pursuing domestic and international sales, U.S. military opportunities, and investment in product development and certifications. The filing provides no quantified revenue or earnings guidance.
Management believed available capital was sufficient to fund operations for at least the next 12 months, while noting that changing conditions could require additional financing, which may not be available on acceptable terms. Risks discussed include COVID-related supply-chain disruption, including component and semiconductor availability; customer payment and demand uncertainty; long government sales cycles; product mix and margin variability; and exposure to a concentrated customer base. One customer accounted for 68% of quarterly revenue; two customers represented 61% and 23% of receivables.
There were no pending material legal proceedings or goodwill impairments reported. Subsequent to quarter-end, on February 4, 2022, the board adopted a change-in-control severance plan for two participating officers; qualifying benefits include salary and bonus payments, health benefits, and accelerated vesting.
Important facts for investors to verify
- Whether the reported backlog, announced contracts, and customer deposits convert into timely shipments, recognized revenue, and cash collection.
- Whether the unusually high customer and receivables concentrations persist, and the payment status of the largest balances.
- Whether the inventory build and operating cash outflow unwind as expected, and whether liquidity remains adequate against planned spending and lease obligations.
- Whether software growth and recurring revenue can improve enough to offset the software segment’s operating losses and elevated operating expenses.
- The filing’s adjusted EBITDA reconciliation labels its periods as “years ended September 30,” although the figures match the three-month results discussed elsewhere; verify the intended period presentation.
