Material changes and management commentary

  • Consolidated revenue declined 13%, primarily reflecting weaker ITS results. ITS intermodal revenue per load declined 16% and volume declined 10%, which management attributed to lower fuel and accessorial revenue, price declines, mix and lower transportation demand. Dedicated revenue increased 1%.
  • Logistics growth reflected the Forward Air Final Mile (FAFM) acquisition, partly offset by lower brokerage, consolidation and fulfillment revenue. Brokerage revenue per load declined 17%, while volume increased 1%.
  • Purchased transportation and warehousing costs fell 15% and declined to 74.1% of revenue from 75.2%. Salaries and benefits rose to 14.4% of revenue from 11.9%; depreciation and amortization rose to 3.8% from 3.1%. Lower revenue and higher relative operating costs contributed to margin contraction.
  • Q1 2023 included $4.0 million of net gains on asset sales, compared with $0.5 million in Q1 2024. Interest expense increased to $3.9 million from $3.0 million, primarily due to higher rates and average debt balances. The effective tax rate was 21.5%, versus 19.4%; the prior-year rate included a one-time benefit from amended state tax returns.
  • FAFM was acquired for approximately $260.9 million in cash in December 2023. The acquisition’s purchase accounting remains preliminary, with valuation and other post-closing work ongoing. The business’s results are included in Logistics from the acquisition date.

Outlook, capital allocation and risks

Management estimates 2024 capital expenditures of $45–$65 million, principally for replacement tractors, technology projects and warehouse equipment, funded with cash and debt. The filing provides no quantified earnings or revenue guidance. Management said cash on hand, cash from operations, the credit facility and other potential financing sources are expected to fund the company’s needs for the next 12 months and foreseeable future.

Management identified potential headwinds including inflation and healthcare costs, weaker consumer spending, retailer inventory changes, customer payment risk, excess transportation capacity, competitive pricing and difficulty passing cost increases to customers. Potential offsets include truckload capacity exiting the market, restocking demand, a return to typical peak-season shipping and a stronger used-tractor market. The company said it was monitoring working capital and customer liquidity.

The board declared a quarterly dividend of $0.125 per share, paid March 27, 2024. Under its $250 million repurchase authorization, Hub Group repurchased 587,928 shares for approximately $26 million in the quarter; the remaining authorization was approximately $197.8 million at March 31. The quarter also included a two-for-one stock split; share data in the filing is adjusted for the split.

The company disclosed ordinary-course claims and pending litigation, including employment-related putative class actions. Management does not believe unrecorded loss contingencies are likely to materially affect the company overall, though outcomes could be material in a particular period. The filing reports no material changes to risk factors since the 2023 Form 10-K and no material changes in market risk. Management concluded disclosure controls were effective as of March 31, 2024.

Important facts for investors to verify

  • Whether ITS intermodal pricing, volumes and operating margins stabilize or continue to weaken.
  • How much FAFM contributes to Logistics growth and earnings after integration, and how final purchase-price accounting may change reported goodwill or intangibles.
  • Whether the planned $45–$65 million of 2024 capital expenditures and debt repayments are consistent with cash generation and liquidity needs.
  • Customer concentration and credit exposure: one customer represented 18% of Q1 2024 consolidated revenue, compared with 14% in Q1 2023.
  • Developments in pending litigation and the potential effect of freight-market conditions, customer liquidity and cost inflation on results and cash flow.
