  • At year-end, debt principal was $350m under five-year Senior Notes bearing 3.64% fixed interest (reported effective rate after hedge: 3.37%). The $100m revolving facility was undrawn. Cash and short-term investments exceeded the notes by approximately $160m.

Material changes and notable items

  • Operating income rose 39.1%; the 2014 comparison included $8.8m of restructuring charges, while FY2015 had none. Operating income growth was also supported by improved cost leverage and geographic profit mix.
  • Net revenue growth reflected acquisitions of MediMedia Pharma Solutions (February 2015) and PMG (December 2015), plus a full-year contribution from Aptiv, acquired in 2014. Reported revenue in Rest of Europe declined 11.3%, partly affected by the stronger U.S. dollar; U.S. revenue rose 7.4%.
  • Acquisition-related goodwill increased to $588.4m from $463.3m; no goodwill impairment was recorded. Goodwill recognized for MediMedia and PMG was $92.1m and $41.0m, respectively.
  • Repurchases reduced outstanding shares to 54.96m from 60.11m. Shareholders’ equity fell despite higher earnings, principally reflecting the $457.9m buyback and currency translation effects.
  • One strategic-partnership client contributed 31% of net revenue in both 2015 and 2014. The top five customers together contributed 49%, down from 53%.

Outlook, risks and contingencies

  • No specific earnings or revenue guidance is provided in the filing. Management describes continued outsourcing, strategic CRO partnerships, technology investment and demand for global clinical trials as growth opportunities, while noting that growth is not assured.
  • Backlog was approximately $3.9bn at year-end, up from $3.6bn. The company cautions that projects may be cancelled or delayed and backlog is not a reliable guarantee of future revenue.
  • ICON expected approximately $41.4m of spending over the next 12 months on IT, facility expansion and new offices, funded from operating cash flow, cash balances and available facilities. Management stated it expected to meet foreseeable near-term cash needs from these sources.
  • Key business risks include dependence on a small number of customers; cancellation or delay of trials; fixed-fee contract cost overruns and estimation risk; patient and investigator recruitment; staffing and competition; currency movements; and reliance on continued pharmaceutical and biotech R&D outsourcing.
  • Other material risks include clinical-trial quality and regulatory compliance, data privacy and cybersecurity, international operations, anti-corruption compliance, and liability claims that may exceed client indemnities or insurance. Senior Notes carry financial covenants and change-of-control repurchase provisions.
  • The filing reports no litigation expected to have a material adverse effect. A $2.0m onerous-lease provision remained at year-end. Unrecognized tax benefits were $28.2m; tax audits and uncertainty over tax positions remain potential exposures.
  • KPMG issued unqualified opinions on the financial statements and internal control over financial reporting. Management concluded disclosure controls and internal controls were effective as of December 31, 2015.

Investor verification points

  • Assess how much of revenue and future growth depends on the largest strategic-partnership client, and whether customer concentration is continuing to improve.
  • Reconcile reported growth with constant-currency and organic growth, including the contribution and integration performance of MediMedia, PMG and Aptiv.
  • Track backlog conversion, cancellations, project margins and revenue outstanding; days revenue outstanding increased to 41 from 40.
  • Evaluate whether operating-margin improvement is sustainable, particularly given acquisition-related amortization, share-based compensation of $33.3m and the absence of 2015 restructuring charges.
  • Review cash generation against acquisition spending, capital expenditure, buybacks and debt-service obligations; confirm compliance with Senior Notes covenants and the availability of the undrawn revolver.
  • Monitor the $28.2m unrecognized tax-benefit balance, the $2.0m lease provision, acquisition accounting estimates and the risks associated with FX, privacy, cybersecurity and trial execution.
