  • Clear Channel International B.V. issued $225.0 million of 8.75% senior notes due 2020; proceeds supported a $217.8 million CCOH special dividend, of which the company received $196.3 million in January 2016.

Outlook, management commentary, and risks

Management planned continued investment in digital radio, iHeartRadio, digital outdoor displays, programmatic sales capabilities, and operating efficiencies. The company expected cash on hand, operating cash flow, and available borrowing capacity to fund requirements for at least the next twelve months, but emphasized that this conclusion depended on operating performance, refinancing access, covenant compliance, and market conditions.

  • Liquidity and refinancing: substantial leverage, high interest costs, near-term maturities, restrictive covenants, speculative-grade credit ratings, and dependence on asset sales or refinancing create significant financial risk.
  • Operating cash flow: 2015 operating cash flow was negative, principally because of higher cash interest payments, slower receivable collections, and working-capital changes.
  • Advertising cyclicality: recession, local-market weakness, reduced advertiser spending, and changes in advertising budgets could reduce revenue, margins, and cash flow.
  • Competition and technology: broadcast radio and outdoor advertising compete with digital, mobile, streaming, satellite, television, print, and other media platforms.
  • Regulation: FCC license renewals, ownership rules, royalty rates, indecency and emergency-alert matters, outdoor-display permitting, billboard restrictions, and municipal concessions could affect operations and costs.
  • Royalties and content: changes in music licensing, webcasting rates, pre-1972 recording litigation, or potential terrestrial performance royalties could materially increase expenses.
  • International exposure: foreign-exchange volatility, economic conditions, political and regulatory risks, and municipal contract renewals affect international results.
  • Legal and tax matters: the company disclosed ordinary-course litigation, a Danish and U.K. competition investigation involving international outdoor operations, unrecognized tax benefits, and approximately $30.0 million of possible contingent acquisition payments subject to performance conditions.

Important facts an investor should verify

  • Whether operating cash flow improves sufficiently to cover approximately $1.8 billion of expected 2016 cash interest and other obligations.
  • The company’s ability to refinance or otherwise address 2018 and 2019 maturities without materially higher borrowing costs or additional asset sales.
  • The sustainability of iHeartMedia revenue growth and whether digital and event initiatives offset pressure on traditional radio advertising.
  • The effect of the 2016 Americas outdoor asset sale and related dividends on recurring revenue, EBITDA, liquidity, and debt reduction.
  • Foreign-exchange-adjusted performance and contract renewal trends in International outdoor advertising.
  • Potential effects of FCC, music royalty, privacy, outdoor advertising, tax, competition, and other legal or regulatory developments.
  • Whether the reported shareholders’ deficit, speculative-grade ratings, covenant headroom, and restricted cash materially limit financial flexibility.
