Total debt was $20.424 billion, or $19.764 billion net of cash, compared with $20.484 billion and $19.776 billion, respectively, at December 31, 2013. The weighted-average interest rate was 7.7%, and approximately 40% of principal debt carried floating rates. Debt maturities were $429.3 million in 2014, $247.4 million in 2015, and approximately $2.4 billion in 2016.
Investing activities generated $152.7 million, primarily from $221.0 million of proceeds from selling the company’s 50% interest in Australian Radio Network. Financing activities used $106.0 million, including repayment of the $247.0 million receivables-based facility and repurchases of $61.9 million principal amount of notes.
Material Changes Versus the Prior Comparable Period
- CCME revenue increased $13.8 million, supported by traffic and weather products, national advertising, digital advertising, and a 13.1% increase in iHeartRadio listening hours. CCME operating income declined 5% to $137.9 million because of higher event, digital streaming, performance-rights, sales-force, and compensation costs.
- Americas outdoor revenue declined $17.7 million, primarily because of Los Angeles litigation, lost national accounts, and nonrenewed airport contracts. Operating income fell 21% to $36.8 million.
- International outdoor revenue increased $2.7 million, while its operating loss improved to $14.0 million from $21.7 million due mainly to efficiency initiatives.
- Corporate expenses declined $11.1 million, including an $8.5 million insurance recovery related to settled stockholder litigation, partially offset by severance and other restructuring costs.
- Strategic revenue and efficiency initiatives cost $13.2 million, compared with $8.8 million in the prior-year quarter. The filing also disclosed $6.3 million related to the separation of the former CCME chief executive.
- The consolidated net loss increased substantially because of higher interest expense, a $13.3 million loss from nonconsolidated affiliates related largely to the Australian Radio Network sale, and a $68.4 million tax expense versus a $96.3 million tax benefit in Q1 2013.
Guidance, Outlook, Risks, and Unusual Items
Management stated that first-quarter results are seasonally weak and are not necessarily indicative of full-year performance. It expected approximately $1.1 billion of cash interest requirements for the remainder of 2014 and was exploring additional liquidity-generating transactions.
Management believed available cash, operating cash flow, borrowing capacity, and potential liquidity transactions would satisfy requirements for at least the next 12 months, but cautioned that this depended on operating performance, refinancing access, market conditions, and successful transactions. The company stated that it was in compliance with applicable debt covenants at March 31, 2014; the senior secured debt covenant ratio was 6.3:1 versus a maximum of 9.0:1.
- Principal risks include substantial leverage, refinancing and liquidity risk, high interest costs, advertising-market weakness, economic conditions, foreign exchange, regulation, litigation, technology changes, and execution of cost-saving initiatives.
- The Los Angeles billboard litigation remained subject to appeals after 82 digital permits were invalidated. The matter had already reduced Americas outdoor revenue and could have further financial effects.
- The company had outstanding surety bonds of $46.3 million, commercial standby letters of credit of $112.7 million, and international bank guarantees of $58.7 million.
- Advertising revenue is sensitive to GDP and macroeconomic conditions; international results are additionally exposed to currency and regional economic volatility.
- No material changes to the risk factors reported in the 2013 Form 10-K were identified.
Investor Verification Checklist
- Verify the company’s ability to refinance or repay the large 2014–2016 debt maturities and sustain approximately $1.1 billion of remaining 2014 cash interest requirements.
- Assess whether operating cash flow can improve from the Q1 use of $91.6 million without relying on asset sales or additional borrowing.
- Track CCME digital and national advertising growth against rising sales, production, streaming, and performance-rights costs.
- Monitor the financial and regulatory consequences of the Los Angeles billboard litigation and airport contract losses.
- Evaluate the sustainability of the covenant cushion, cost-saving initiatives, and management’s proposed liquidity-generating transactions.
