Material changes versus the prior comparable period
- ILPT completed the $3.7 billion MNR acquisition on February 25, 2022, adding 124 industrial properties and approximately 25.7 million rentable square feet.
- An institutional investor acquired a 39% interest in a consolidated joint venture holding 95 MNR properties for $587.4 million; ILPT retained a 61% interest.
- Real estate properties, net increased to $4.4 billion from $1.6 billion at year-end 2021, while noncontrolling interest increased to $589.7 million from zero.
- Rental income and NOI increased primarily from the MNR acquisition. Comparable-property rental income decreased 0.6%, and comparable-property NOI decreased 1.6%.
- Leasing activity covered approximately 829,000 square feet at weighted average rental rates 31.0% above prior rates for the same space. Approximately 3.3% of leased square feet and 3.6% of annualized rental revenues were scheduled to expire by December 31, 2022.
- ILPT repaid and terminated its $750.0 million unsecured revolving credit facility in connection with the MNR transaction.
Debt, liquidity and cash flow
Outstanding debt principal was approximately $4.46 billion at March 31, 2022, compared with $832.0 million at December 31, 2021. Carrying value, net of unamortized debt issuance costs, was $4.39 billion. Major debt included a $1.385 billion bridge loan maturing in February 2023, a $1.400 billion floating-rate loan maturing in March 2024 with extension options, a $700.0 million fixed-rate loan maturing in March 2032, and a $650.0 million mortgage loan maturing in 2029.
Floating-rate debt totaled $2.785 billion. The company uses interest rate caps with strike rates of 2.70% for the bridge loan and 3.40% for the floating-rate loan. Management estimated that a one-percentage-point increase in floating rates would increase annual interest expense by approximately $27.9 million, based on debt outstanding at March 31, 2022.
Operating activities generated $56.6 million of cash. Investing activities used $3.44 billion, primarily for the MNR acquisition. Financing activities provided $3.78 billion through new debt and noncontrolling-interest proceeds, partially offset by debt issuance costs, distributions and other financing payments.
Management stated that cash on hand, operating cash flow and expected proceeds from asset sales should be sufficient for operating and capital expenses, debt service and distributions for the next 12 months. Thirty MNR properties, totaling approximately 4.9 million rentable square feet, were classified as held for sale. ILPT expects to use sale proceeds to reduce debt, but cautioned that sales may not occur or may be completed below carrying value.
