Revenue increased 77%, led by JAKAFI sales growth and a $25 million Novartis regulatory milestone. Management attributed the $45.7 million rise in JAKAFI net sales to $35.3 million of volume growth and $10.3 million of price growth. Operating expenses were $166.2 million, including research and development of $118.4 million and selling, general and administrative expense of $44.9 million. R&D rose from $75.6 million, primarily due to pipeline investment and the Agenus transaction; SG&A rose from $37.0 million with commercialization and launch-related costs. Cost of product revenue was $3.0 million; the filing expects it to reach the mid-single digits as a percentage of net product sales after remaining pre-launch inventory is used. The filing does not present a consolidated gross-margin percentage.

At March 31, total assets were $862.6 million and total liabilities were $904.0 million, leaving a stockholders’ deficit of $41.4 million. Cash, cash equivalents and marketable securities totaled $585.4 million. The company reported $840.8 million of aggregate principal debt, including $90.8 million of 4.75% notes due in October 2015; contractual obligations also include $87.3 million of headquarters lease payments. Net cash used in investing was $58.6 million, including a $39.8 million Agenus investment; financing provided $32.7 million, mainly from stock-plan issuances.

Material changes and developments

  • JAKAFI net product revenue grew about 66%; JAKAVI royalties from Novartis increased about 60%.
  • Net loss narrowed by $15.6 million, while operating cash use fell by $27.1 million, mainly due to the lower net loss.
  • In February, Incyte paid $60 million in connection with its Agenus collaboration and stock purchase: $39.8 million was recorded as a long-term investment and $20.2 million as R&D expense. Incyte acquired approximately 11% of Agenus.
  • Novartis’ JAKAVI received European Commission approval in March 2015 for certain patients with polycythemia vera; Incyte recognized a $25 million regulatory milestone in Q1.
  • After quarter-end, $46.9 million principal amount of the 2015 notes was converted into approximately 5.3 million shares. The filing also says the 2018 and 2020 notes became convertible from April 1 through at least June 30, 2015; management intended to settle any such conversions in shares.

Outlook, commentary and key risks

  • Management stated that available cash, cash equivalents and marketable securities should meet capital needs for at least the next 12 months. It provided no specific revenue, earnings or cash-flow guidance and cautioned that losses may continue.
  • Management expects continued investment in drug discovery, clinical development and commercialization. The Phase III baricitinib rheumatoid arthritis program continued after two trials met their primary endpoints; ruxolitinib pancreatic cancer Phase III trials were ongoing. Incyte also planned to begin clinical trials of INCB54329 in Q2 2015.
  • Major risks include dependence on JAKAFI/JAKAVI and continued commercialization, reimbursement and pricing; clinical, regulatory and safety uncertainty across the pipeline; reliance on collaborators and third-party manufacturers; single-source supply risks; and substantial debt, including near-term 2015 note maturities.
  • Government rebates and chargebacks may increase, particularly if future JAKAFI price increases exceed inflation. Four specialty pharmacy customers represented 69% of accounts receivable at quarter-end, versus 54% at year-end 2014.
  • Incyte identified the possibility of generic challenges to JAKAFI patents beginning as early as Q4 2015. It also cited competition, intellectual-property disputes, healthcare regulation and reimbursement changes, and execution risks from expansion in Europe.

Investor facts to verify

  • Whether JAKAFI sales growth and the recent PV launch persist, including the effects of pricing, rebates, chargebacks and reimbursement.
  • Whether the Q1 improvement in net loss and operating cash flow is sustainable, given increased R&D spending and the one-time Agenus-related charge.
  • How the $90.8 million principal amount of 2015 notes outstanding at quarter-end is addressed after the reported April conversions, and the potential dilution or settlement implications of convertible notes.
  • Clinical and regulatory progress, trial outcomes and partner commitments for ruxolitinib, baricitinib and the broader pipeline; milestone revenue is contingent and uncertain.
  • Manufacturing and distribution continuity, specialty-pharmacy receivable concentration, and the status of JAKAFI patent protection and potential generic challenges.
