Financial performance and position
| Metric | Q3 2023 | Q3 2022 | Nine months 2023 | Nine months 2022 |
|---|---|---|---|---|
| Revenue | $113.7m | $108.6m | $325.2m | $303.4m |
| Operating income (loss) | $40.0m | $68.5m | ($983.0m) | $182.0m |
| Net income (loss), consolidated | $14.0m | $50.3m | ($1,029.8m) | $126.2m |
| Net income (loss) attributable to Ironwood | $15.3m | $50.3m | ($1,001.2m) | $126.2m |
| Operating cash flow | $32.5m | $69.1m | $147.6m | $194.6m |
- Q3 revenue increased 4.7% year over year; nine-month revenue increased 7.2%. The increase primarily reflected higher U.S. LINZESS collaboration profits, driven by prescription demand and net price, partly offset by inventory-channel fluctuations.
- Q3 operating margin was approximately 35%, compared with 63% a year earlier, reflecting higher operating expenses. The nine-month operating and net losses were principally driven by the $1.090bn acquired in-process R&D charge for apraglutide. The acquisition was accounted for as an asset acquisition.
- Q3 R&D expense rose to $33.0m from $11.5m; nine-month R&D rose to $80.4m from $33.8m. Q3 SG&A was $36.0m versus $28.6m; nine-month SG&A was $119.6m versus $87.6m. Restructuring expense was $4.7m in Q3 and $17.7m for the nine months.
- Q3 net income attributable to Ironwood exceeded consolidated net income because VectivBio’s noncontrolling interest recorded a loss. For the nine months, the consolidated loss includes a $28.7m loss attributable to noncontrolling interests.
- Nine-month operating cash flow was $147.6m, down from $194.6m. Investing cash outflow was $1.022bn, primarily for VectivBio; financing provided $328.1m, mainly from revolver borrowings net of repayments. Cash, cash equivalents and restricted cash declined $546.5m to $111.5m, including $110.2m of unrestricted cash and equivalents.
- At September 30, total debt principal was $725m: $400m of convertible notes due in 2024 and 2026 and $325m drawn on the $500m secured revolving facility. Convertible notes had a $397.5m carrying value. The 2024 notes’ $199.3m carrying amount was classified as current. Cash and equivalents were substantially below total debt.
- Current assets were $253.6m and current liabilities $280.6m; stockholders’ deficit was $325.7m. Accumulated deficit was $1.698bn. The filing does not provide a conventional gross-margin figure.
Material changes and significant items
- Ironwood acquired VectivBio for total consideration of approximately $1.176bn, including $1.041bn paid to selling shareholders. At quarter-end it owned 98% and intended to complete a Swiss squeeze-out for the remaining shares, expected to require $26.3m in cash.
- The acquisition was partly financed with $400m drawn under a new four-year secured revolver; $75m was repaid in September. The revolver carries variable-rate interest and financial covenants. Ironwood reported compliance with all covenants at quarter-end.
- Q3 interest expense and other financing costs rose to $9.8m from $1.5m, primarily due to the revolver. Nine-month interest and investment income increased to $17.8m from $4.1m, while Q3 interest and investment income fell to $1.7m from $2.8m as investment balances declined after the acquisition.
- In April, Ironwood reduced headquarters-based personnel by approximately 10%. It also eliminated positions in connection with the VectivBio acquisition. Accrued restructuring liabilities were $10.7m at quarter-end.
- Income tax expense was $18.0m for Q3 and $51.4m for the nine months; the company said most of the provision was expected to be noncash while net operating losses remain available. It recorded a valuation allowance against VectivBio deferred tax assets and increased uncertain-tax-position reserves by $11m in Q2.
Outlook, commentary and risks
- Management said cash on hand at September 30 was expected to fund projected operating needs for at least 12 months from issuance of the financial statements. This assessment depends on revenue and cost assumptions and is not a guarantee; the company also noted it may use available capital sooner than expected.
- No specific full-year financial guidance was provided. Management expects substantial expenses for several years as it develops and commercializes products and invests in its pipeline. LINZESS collaboration revenue is expected to remain a significant revenue source, but may fluctuate with sales, pricing, inventory, commercial costs and partner settlements.
- Apraglutide’s Phase III STARS trial for short bowel syndrome with intestinal failure had topline results expected in March 2024. The Phase II STARGAZE trial for gastrointestinal graft-versus-host disease had data expected in Q1 2024. COUR expected topline CNP-104 data in Q3 2024; Ironwood retains an option to license the U.S. rights. IW-3300’s Phase II proof-of-concept study in interstitial cystitis/bladder pain syndrome was ongoing.
- Key risks include clinical, regulatory, manufacturing and commercialization uncertainty; dependence on AbbVie and other partners; integration and benefit-realization risks from VectivBio; increased debt, interest expense and covenant requirements; and foreign-operation, intellectual-property and competition risks. Apraglutide has not completed a pivotal trial and may not receive regulatory approval.
- Management reported disclosure controls and procedures were effective at the reasonable-assurance level. VectivBio’s internal controls were excluded from the assessment as a recently acquired business and were being integrated.
