IRONWOOD PHARMACEUTICALS INC annual report, FY2019

Ironwood Pharmaceuticals, Inc. — FY2019 Form 10-K

Business context and reporting period. The filing covers the fiscal year ended December 31, 2019; it is an annual report, not a standalone fourth-quarter filing. Ironwood is a GI-focused company whose principal commercial product is LINZESS (linaclotide), marketed in the U.S. with Allergan and internationally through partners. The April 1, 2019 spin-off of its sGC business into Cyclerion is reported as discontinued operations. Fourth-quarter figures are included below where disclosed.

Key financial results

MetricFY2019FY2018
Total revenue$428.4 million$346.6 million
Operating income (loss)$120.1 million$(150.7) million
Net income (loss)$21.5 million$(282.4) million
Operating cash flow$10.7 million$(70.9) million

Revenue increased 24%. Collaborative arrangements revenue rose to $379.7 million, including $325.4 million from Ironwood’s U.S. LINZESS collaboration share, $32.4 million recognized under the amended AstraZeneca agreement, and a $10.0 million Astellas upfront payment. API sales fell to $48.8 million from $70.4 million; Ironwood expected to stop supplying API to its Japan and China partners beginning in 2020. Ironwood recorded no product revenue in 2019 after ending its U.S. lesinurad business.

Research and development expense increased 14% to $115.0 million, largely reflecting higher IW-3718 and linaclotide development spending. Selling, general and administrative expense decreased 21% to $172.5 million, principally following the separation, workforce reductions, and lesinurad exit. Reported operating income and net income reflect, among other items, the absence of the $151.8 million lesinurad intangible-asset impairment recorded in 2018; 2019 also included a $31.0 million debt-extinguishment loss.

Fourth quarter: Revenue was $126.3 million versus $130.7 million in Q4 2018. Net income was $47.9 million versus a $15.5 million net loss. The filing does not provide a clear standalone Q4 cash-flow figure.

Cash, debt, and liquidity

  • Year-end cash and cash equivalents were $177.0 million; working capital, excluding deferred revenue, was $266.8 million.
  • Operating cash flow of $10.7 million included $11.4 million provided by discontinued operations; continuing operations used $0.6 million of operating cash.
  • Year-end debt principal was approximately $520.7 million: $120.7 million of 2.25% convertible notes due 2022, $200 million of 0.75% notes due 2024, and $200 million of 1.50% notes due 2026. The balance-sheet carrying amount of convertible senior notes was $408.0 million, reflecting accounting discounts and issuance costs.
  • In 2019, Ironwood issued $400 million of new convertible notes, repurchased $215 million principal of 2022 notes, redeemed all $116.5 million principal of 8.375% notes due 2026, and paid $25.2 million for capped calls. The company reported a $31.0 million loss on extinguishment of debt.
  • Management stated that cash on hand was expected to fund projected operating needs for at least 12 months from the financial-statement issuance date. No dividend was anticipated in the foreseeable future.

Material changes, outlook, and risks

  • Ironwood completed its Cyclerion spin-off and repositioned as a GI-focused company. It reported FY2019 net income after losses in prior years, but retained an accumulated deficit of approximately $1.6 billion.
  • LINZESS remains the main revenue driver and a significant portion of revenue depends on U.S. sales and Allergan’s reporting and cost-sharing. The filing identifies demand, reimbursement, competition, partner performance, and wholesaler purchasing patterns as material uncertainties.
  • The company reported positive Phase IIIb topline data on LINZESS abdominal symptoms in IBS-C and submitted a supplemental NDA in November 2019. MD-7246 was in Phase II for IBS-D abdominal pain; two Phase III trials of IW-3718 for refractory GERD were ongoing. No specific financial guidance or trial-result timetable is provided.
  • In January 2020, Ironwood and Allergan settled patent litigation with Teva and Sandoz. Settlements with generic manufacturers generally provide licenses for 145 mcg and 290 mcg LINZESS generics beginning as early as March 31, 2029, subject to FDA approval; one 72 mcg license begins as early as August 5, 2030. The Teva settlement does not license its 72 mcg product.
  • Other notable exposures include clinical and regulatory execution risk, reliance on third-party manufacturing, debt repayment and possible dilution from convertible notes, potential limits on tax-loss carryforwards, and tax and indemnity risks related to the Cyclerion separation. The filing reports $53.1 million of uncertain tax positions; deferred tax assets were fully offset by a valuation allowance.
  • The auditor issued an unqualified opinion on the financial statements and internal controls. Management concluded disclosure controls and internal control over financial reporting were effective at December 31, 2019.

Most important facts for investors to verify

  • Underlying U.S. LINZESS prescription demand and the sustainability of the $325.4 million collaboration contribution, including any later gross-to-net reserve adjustments.
  • Cash generation from continuing operations, given that reported operating cash flow included cash from discontinued operations and that API supply revenue was expected to decline from 2020.
  • Debt principal, maturities, conversion terms, and cash requirements, alongside management’s 12-month liquidity statement.
  • Progress and outcomes of the LINZESS label application, IW-3718 Phase III trials, and MD-7246 Phase II trial.
  • Generic-settlement terms, FDA approval conditions, and the timing and commercial implications of potential generic entry.
  • Potential tax, indemnification, and other obligations arising from the Cyclerion separation and the company’s uncertain tax positions.
