Jasper Therapeutics, Inc. — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024. Jasper is a clinical-stage biotechnology company developing briquilimab for mast-cell-driven and hematologic diseases. It has no approved products and has not generated product sales revenue.
Financial performance and liquidity
| Metric | Q1 2024 | Q1 2023 / comparison |
|---|---|---|
| Research and development expense | $10.3 million | $9.8 million; up 5% |
| General and administrative expense | $4.8 million | $4.1 million; up 15% |
| Total operating expenses / operating loss | $15.1 million / $(15.1) million | $13.9 million / $(13.9) million |
| Net loss | $(13.7) million | $(14.3) million |
| Net loss per share, basic and diluted | $(1.03) | $(1.62) |
| Operating cash flow | $(15.7) million | $(10.3) million |
| Cash and cash equivalents at period end | $118.5 million | $86.9 million at Dec. 31, 2023 |
There was no product revenue. Interest income was $1.4 million, versus $1.1 million a year earlier. Net loss improved despite higher operating expenses, principally because other income was $1.3 million in Q1 2024 versus a $0.3 million net expense in Q1 2023, including lower earnout remeasurement expense and no warrant-liability remeasurement expense. Operating cash use increased year over year, partly reflecting working-capital outflows.
Cash, cash equivalents and restricted cash totaled $118.9 million at quarter end. Current assets were $120.3 million and current liabilities were $8.9 million. Total liabilities were $12.7 million, including lease liabilities and a $2.3 million CIRM grant liability; the filing reports no conventional borrowings or debt balance. Accumulated deficit was $183.3 million. No operating margin is meaningful given the absence of product revenue and operating losses.
Changes and financing
- In February 2024, Jasper issued 3.9 million common shares in an underwritten offering, receiving $47.2 million net. Shares outstanding rose from 11.16 million at Dec. 31, 2023 to 15.09 million at Mar. 31, 2024.
- R&D expense rose $0.5 million: increased personnel, consulting and clinical-trial activity more than offset lower manufacturing and other third-party costs. Chronic urticaria external program costs increased substantially year over year.
- G&A expense rose $0.6 million, mainly due to hiring and personnel-related costs, partly offset by lower insurance and other expenses.
- A 1-for-10 reverse stock split took effect January 4, 2024; share and per-share data were retrospectively adjusted in the filing.
Outlook, risks and notable items
Management expects quarter-end cash to fund its current operating plan for at least 12 months from the filing date. The company nevertheless expects substantial ongoing losses and says it will need additional financing to continue product development. It may seek equity or debt financing, alliances or licensing; access to capital is not assured, and insufficient funding could force delays, reductions or discontinuation of programs. The shelf registration allows up to $250 million of securities; $75 million remained available under the ATM prospectus and $124.5 million remained unallocated under the shelf at March 31, 2024.
Programs include Phase 1b/2a studies of briquilimab in chronic spontaneous urticaria and chronic inducible urticaria, a Phase 1 LR-MDS study, and a Phase 1/2 SCID transplant-conditioning study. The filing also reports a May 2024 announcement of a planned Phase 1b/2a asthma study, after the quarter ended. Development, safety, regulatory approval, manufacturing, trial execution, intellectual-property protection and future financing are key risks. Jasper relies on contract manufacturers and service providers and does not operate its own manufacturing facility.
Other items include a $2.3 million CIRM grant recorded as a liability because repayment may be required under grant terms, and up to $9.0 million of Stanford development and sales milestones plus low-single-digit royalties under a license agreement. No material legal proceedings were reported. Management concluded disclosure controls were effective and reported no material change in internal control over financial reporting.
Important facts for investors to verify
- Whether clinical enrollment, safety and efficacy data support continued development across the briquilimab programs, including the asthma study announced after quarter-end.
- Whether cash burn and trial spending remain consistent with management’s stated 12-month operating-plan runway, and when additional capital may be required.
- The potential dilution and terms of future equity issuance, including use of the remaining ATM and shelf capacity.
- Manufacturing capacity, supply arrangements and any cost or timing constraints involving contract manufacturers.
- Potential obligations and milestone triggers under the CIRM grant and Stanford license, as well as the earnout liability and associated stock-price triggers.
