KLA CORP quarterly report, Q3 FY2021

KLA Corporation — Form 10-Q Summary

Reporting period: Quarter ended March 31, 2021, KLA’s fiscal third quarter of 2021; the filing also reports the nine months ended that date. Although the request metadata says “2020 Q3,” the filing itself is for Q3 FY2021. Unaudited figures are in U.S. dollars unless noted.

Business context and financial performance

KLA supplies process-control, inspection, metrology and related services to semiconductor and electronics manufacturers. It reports four segments: Semiconductor Process Control, Specialty Semiconductor Process, PCB, Display and Component Inspection, and Other.

Operating cash flowNot separately provided hereNot separately provided here$1.719 billion$1.326 billion

Quarterly product revenue was $1.375 billion, up 31%; service revenue was $428.5 million, up 15%. Management attributed product growth primarily to strong memory and logic demand and growth tied to 5G infrastructure, work-from-home requirements and high-performance computing. Softer demand and oversupply in flat-panel displays partly offset growth.

Quarterly revenue increased 27% year over year. Semiconductor Process Control revenue rose 28% to $1.506 billion; Specialty Semiconductor Process rose 8% to $91.7 million; and PCB, Display and Component Inspection rose 28% to $205.2 million. Gross margin improved mainly on higher volume and more favorable product and service mix, partly offset by higher service and manufacturing costs.

Liquidity, debt and capital allocation

  • At March 31, 2021, cash and cash equivalents were $1.452 billion and marketable securities were $990.6 million, totaling $2.443 billion. Working capital was $3.38 billion.
  • Nine-month operating cash flow of $1.719 billion was offset in part by $406.8 million used in investing and $1.105 billion used in financing. Financing uses included $638.8 million of cash share repurchases and $420.1 million of dividends.
  • Debt had a $3.442 billion carrying value, including $20 million short-term debt; aggregate principal was approximately $3.45 billion. No revolving-credit-facility borrowings were outstanding, and $1.0 billion of capacity was available. KLA reported compliance with debt covenants.
  • The quarterly dividend was $0.90 per share. Approximately $393 million remained authorized for repurchases as of March 31, 2021.
  • Management said existing cash, operating cash generation and available credit were expected to meet liquidity requirements for at least the next 12 months.

Material changes, outlook and risks

  • Revenue and margins strengthened versus the prior-year quarter. The prior-year comparison included a $256.6 million goodwill impairment and a $22.5 million debt-extinguishment loss; neither recurred in the current quarter. The prior-year impairment materially depressed reported net income and affected the effective-tax-rate comparison.
  • During the quarter KLA sold its interest in PixCell for $20.2 million and recorded a $4.4 million gain. It also reported $2.9 million of restructuring charges for the quarter and expects further charges as a workforce-reduction plan is completed.
  • Remaining performance obligations were $3.81 billion at March 31, 2021. The filing says approximately 5%–15% is expected to be recognized as revenue beyond the next 12 months; orders may be delayed, pushed out or canceled, generally with limited or no penalties.
  • No specific quarterly revenue or EPS guidance is stated in the provided filing text. Management reported generally strengthening demand in FY2021, especially in the current quarter, while noting that supply-chain constraints and extended lead times remained fluid and uncertain.
  • COVID-19 had increased freight costs and constrained component availability; travel-cost reductions partly offset cost pressure. Risks include customer concentration (two customers represented approximately 24% and 16% of quarterly revenue), semiconductor-industry cyclicality, supply disruptions, export restrictions affecting China-based customers, and foreign-exchange exposure.
  • Tax and legal matters include Israeli tax assessments of approximately $73 million and $68 million, respectively, for different periods, which KLA is contesting and believes are covered by recorded unrecognized tax benefits. An associated Israeli criminal investigation remains unresolved. The filing says legal outcomes and tax-audit resolutions could differ materially from accrued amounts.

Important facts for investors to verify

  • Whether semiconductor demand, customer orders and the $3.81 billion performance-obligation balance convert to revenue on the expected schedule.
  • Whether supply constraints, freight costs and customer concentration affect future shipments, margins or cancellations.
  • Progress and potential financial exposure from the Israeli tax assessments and criminal investigation, as well as other tax audits and legal matters.
  • Debt-service capacity, covenant compliance and the sustainability of dividends and share repurchases if operating conditions weaken.
  • The scale and timing of remaining restructuring costs and any further impairment or inventory charges.
